Mission

This corporation is organized for the primary purpose and objective of furthering the economic development and social welfare of the state of texas, with a primary focus on armstrong, briscoe, carson, castro, childress, collingsworth, dallam, deaf smith, donley, gray, hall, hansford, hartley, hemphill, hutchinson, lipscomb, moore, ochiltree, oldham, parmer, potter, randall, roberts, sherman, swisher, and wheeler counties, and their environs by promoting and assisting the growth and development of business concerns, including small business concerns, in such area. The principal objectives of the corporation shall be to benefit the community by fostering the increased employment opportunities and expansion of business and industry for the citizens of the area. Monetary profits or other benefits to members must be merely incidental thereto. The financial program, except those permitted under title v of the small business corporation, shall not participate in any other sba.

Management is provided by amarillo economic development corporation under a contract.

This is a membership based organization.

Form 990, Page 6, Part VI, Line 7A

The corporation shall have eighteen (18) members. The board of directors of the texas panhandle regional development corporation shall designate members of the corporation. No more than five (5) of the eighteen (18) members shall represent one of the following groups: (a) local government, (b) private sector lending institution, (c) community organization, and (d) business organization. Members shall serve for a period of three (3) years. Any vacancies occurring in the membership shall be filled by appointment of the board of directors of the texas panhandle regional development corporation. Terms of the members shall be staggered so that one-third (1/3) are appointed annually. In order to qualify to be a member of the corporation, a person must reside within the area principally served by the corporation.

Financial Statement Notes

Schedule D, Page 3, Part X

Tprdc is exempt from federal income taxes under section 501(c)(4) of the internal revenue code. Accordingly, federal income taxes are not included in the accompanying financial statements. Tprdc complies with fasb asc topic 740, accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, tprdc may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated tprdc's tax positions and concluded that tprdc had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. With few exceptions, tprdc is no longer subject to income tax examinations by the u.s. Federal tax authorities for years ending before september 30, 2017.
