Registered office and registered agent the corporation shall have and continuously maintain in the state of texas a registered office as required by the texas nonprofit corporation act. The registered office may be but need not be identical with the principal office of the corporation in the state of texas. Article iv membership c. Advisory and development council - the advisory and development council are honorary members of the board of directors selected by the board of directors. Members of the advisory and development council serve one (1) year or until their successors are appointed. Advisory and development council members may attend meetings of the board of directors and may participate in committee assignments but shall have no vote. When necessary for the business of the organization, meetings of the board of directors may take place via conference call or various electronic means, provided that notification meets requirements in article vi, section 4 and there is a participating quorum per article vi, section 5. The executive committee of the board of directors shall govern the affairs and business of the corporation consistent with the policies established by the board or executive committee. Texas lyceum association policies may be established or amended by a two-thirds (2/3) margin of votes cast by the officers at any meeting of the executive committee. Chairman of the board the chairman of the board shall be the principal executive officer of the corporation and shall supervise and control all of the business and affairs of the corporation. The chairman shall preside at all meetings of the board of directors. He/she shall represent the corporation in its relations with the sponsors of corporation events or any other group. The chairman shall perform all duties incident to this office and such other duties as may be prescribed by the board. In the absence of the president, the chairman of the board shall function as president. (commented: signatory authority should be addressed in policies and procedures, new policy has been proposed). F. Secretary the secretary shall keep a record of the meetings of the board; shall be the custodian of the policies of the corporation; shall see that notices are duly given in accordance with these bylaws or as required by law; shall be the custodian of the corporate records and seal of the corporation; and shall perform all duties incident to the office of secretary and other duties as may be assigned to him/her by the president or the board of directors. The secretary shall serve as the official, but nonexclusive communication link between the corporation and the lyceum's administrative support and shall have general oversight of the administrative functions of the corporation. In the event that neither the chairman of the board or president is in attendance at a meeting of the board or executive committee, the secretary shall preside”
