Governance Explanations

Form 990, Part VI, Section A, Line 1

The university's executive committee consists of the chair, vice chair, treasurer, assistant treasurer, and secretary. The committee has, and may exercise, all the powers of the board during the interim period between meetings of the board except that the executive committee does not have the power to suspend or discontinue operation of the university; amend the university's bylaws; or elect to or remove from membership a trustee or officer of the board. In addition, the executive committee may not enter or approve any contract or incur any debt or any other encumbrance involving an amount in excess of $25,000, or authorize any officer of the university to take any such action without the written unanimous consent of all the trustees or approval by vote at a regular or special meeting of the board.

The president of the alumni association holds a position on the board of trustees and enjoys all rights of the floor and voting privileges, and is held accountable for all duties of a trustee, except as proscribed in the university's bylaws.

The university's form 990 will be sent to the board at least 30 days before filing. Each member will be instructed to review and forward any questions or concerns to university's management.

Form 990, Part VI, Section B, Line 12C

The university bylaws prohibit the trustees from participating in decisions when they have a conflict of interest. The employee handbook applies to all employees and prohibits contracts between the college and any firm or individual in which an employee has a material financial interest. To monitor the presence of any conflicts, the trustees, the president, its cabinet, and employees in purchasing and financial aid must annually complete a form to disclose any conflict of interest. All employees are required to 1) disclose conflicts of interest and 2) refrain from participating in decisions resulting in financial gain direct or indirect. The disclosure forms of trustees are reviewed by the board chair. The disclosure forms of employees are reviewed by human resources. If additional action is necessary to evaluate the conflict or to prevent that trustee or employee from participating in decisions involving that conflict of interest, human resources may seek assistance from the vice president of business or if necessary, may seek assistance from the president or the chair of the board.

Compensation for the president of the university is determined by the board of trustees. The presidential review committee works with an independent consultant and makes recommendation to entire board. This process was last completed for the university's president in 2012. Compensation for executive members of the organizations has historically been conducted at the same time the president's compensation is reviewed. This process was last completed in 2012.

The university qualifies as a tax-exempt organization under section 501(c)(3) of the internal revenue code. Accordingly, it is not subject to state or federal income taxes. The university is subject to federal taxes on unrelated business income. The university follows the income tax standard for uncertain tax positions. No liability has been recognized by the university as a result of the application of this standard. The university files as a tax-exempt organization. The university's tax returns for the prior three fiscal years are subject to review by the irs.
