Easter Seals - North Texas, Inc. follows FEDCAP's conflict of interest policy. The conflict of interest policy is signed by appropriate Fedcap Employees annually. Each member of the Board of Directors signs the conflict of interest policy on an annual basis. Violation of the policy will subject an employee to disciplinary action or immediate discharge. Employees who have knowledge or suspicion of improper conduct or activities by other employees or outside parties doing business with Fedcap, are expected to immediately bring it to the attention of the CEO or Director of Human Resources.

Easter Seals - NORTH Texas, Inc. provides compensation to individuals reported on Part VII of the Form 990. Their compensation is determined in accordance with the procedures outlined by Easter Seals - NORTH Texas, Inc.'s parent organization (as described below). All other compensation is paid by Fedcap Rehabilitation Services, Inc. (an affiliated organization). The process that Fedcap undertakes to determine compensation is as follows: The Board of Directors has established a Compensation Committee of independent persons that have no personal interest in the proposed compensation agreement. In determining the President's compensation package, the compensation committee conducts an analysis of industry comparables for individuals performing similar job functions. The Compensation committee ultimately makes the decisions about the President's compensation and memorializes its decision in the Board Minutes. General Statement Regarding the Covid-19 Pandemic

IN MARCH 2020, THE WORLD HEALTH ORGANIZATION OFFICIALLY DECLARED COVID-19, A DISEASE CAUSED BY THE NOVEL CORONAVIRUS, A PANDEMIC. THIS CAUSED MANY LOCAL AND NATIONAL GOVERNMENTS, INCLUDING NEW YORK STATE, TO IMPOSE RESTRICTIONS ON BUSINESS OPERATIONS, TRAVEL AND PUBLIC GATHERINGS. THE OUTBREAK HAS ADVERSELY IMPACTED THE LEVEL OF ECONOMIC ACTIVITY AROUND THE WORLD AND DISRUPTED NORMAL BUSINESS ACTIVITY IN EVERY SECTOR OF THE ECONOMY. To help mitigate the dramatic impact that COVID-19 had on esnts operations and financial viability, the organization took part in several governmental programs. In April 20, 2020, esnt was granted a PPP loan in the aggregate amount of $1,423,400, pursuant to the Small Business Administration Paycheck Protection Program (the "SBA PPP") under the CARES Act, which was enacted March 27, 2020. The PPP Loan bears interest at a rate of 1% per annum, payable monthly commencing on November 1, 2020. Funds from the Loan may only be used for payroll costs, costs used to continue group health care benefits, mortgage payments, rent, and utilities. esnt used the entire Loan amount for qualifying expenses. Under the terms of the SBA PPP, certain amounts of the Loan may be forgiven if they are used for qualifying expenses as described in the CARES Act. esnt anticipates receiving full forgiveness of its PPP Loan. Schedule D, Part III

Easter Seals North Texas maintains a piece of artwork in its lobby to recognize the generosity and giving of its founding members. This artwork has been valued at $22,200. Schedule D, Part III, Line 4 Easter Seals North Texas displays several pieces of art in its headquarters buildings. These art pieces were donated years ago and have been retained to enhance the aesthetics of the office building. These assets do not contribute importantly to the organization's tax-exempt mission. Schedule D, Part V, Line 4 Easter Seals North Texas' endowment fund consists of beneficial interest in perpetual trust and other trusts holdings, cash and cash equivalents, bonds, and mutual funds. This fund consists of contributions made to establish a permanent endowment, the earnings from which are to be used to support Easter Seals North Texas operations. Schedule D, Part X, Line 2 FIN 48 Fedcap Rehabilitation Services, Inc. is the sole member of Easter Seals - North Texas, Inc. Easter Seals - North Texas, Inc. does not receive its own standalone audited financial statements; its operations are included within the financial statements of its parent organization: Fedcap Rehabilitation Services, Inc. The FIN-48 footnote reproduced below is from the consolidated audited financial statements. Fedcap and its related entities follow guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. Fedcap and its related entities are exempt from federal income tax under IRC section 501(c)(3), though they are subject to tax on income unrelated to their respective exempt purpose, unless that income is otherwise excluded by the Code. These organizations have processes presently in place to ensure the maintenance of their tax-exempt status; to identify and report unrelated income; to determine their filing and tax obligations in jurisdictions for which they have nexus; and to identify and evaluate other matters that may be considered tax positions. Fedcap and its related entities have determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.

IRS990/Desc0ESNT's Outpatient Rehabilitation Services is an ORF-accredited program that offers center-based occupational therapy, physical therapy, and speech-language therapy evaluations and treatment in our clinic in North Dallas. In FY2020, 152 children with disabilities were served through this program. Individuals participating in the program have a wide range of disabilities, such as Autism Spectrum Disorder, Developmental Delay, Cerebral Palsy, genetic disorders and various acquired disabilities. Individuals participating in the program have a wide range of disabilities, such as Autism Spectrum Disorder, Developmental Delay, Cerebral Palsy, genetic disorders and various acquired disabilities. All participants are treated using a comprehensive, integrated team methodology. Program participants have access to skilled evaluation and treatment from occupational therapists, physical therapists, and speech-language therapists with coordinated care with the clients prescribing physician. While individual therapists develop treatment plans and goals for children in their specific disciplines, the entire team works together to ensure that each client's needs are met and that any identified barriers to successful treatment are eliminated. In addition, the families are trained to be an integral part of the rehabilitation team, learning how to transfer skills to the home environment and also gaining a better understanding of the resources available in our community that can assist them in meeting their goals. Community Living Assistance and Support Services (CLASS) Case Management - Case Managers advocate for individuals who have significant disabilities and their families in this Medicaid Waiver program. With their case managers, clients establish and work to accomplish annual goals and objectives to help them increase and/or maintain their level of independence. Case managers meet regularly with clients and their families to ensure all necessary community supports are in place in order to achieve their goals and ensure they are able to remain living in the community, rather than an institution. In FY2020, 465 individuals received CLASS Case Management through ESNT.

THE MISSION OF ESNT IS TO CREATE OPPORTUNITIES THAT ADVANCE THE INDEPENDENCE OF INDIVIDUALS WITH DISABILITIES AND OTHER SPECIAL NEEDS. THE MISSION IS CARRIED OUT THROUGH THE PROVISION OF 12 PROGRAMS AND SERVICES THAT BENEFIT CHILDREN, ADULTS AND SENIORS WITH ALL TYPES OF DISABILITIES IN OUR 34-COUNTRY SERVICE AREA OF NORTH TEXAS. ALL PROGRAMS AND SERVICES AT ESNT ARE DESIGNED TO HELP PEOPLE WITH DISABILITIES OVERCOME MAJOR BARRIERS TO INDEPENDENCE, SUCH AS MOBILITY, EMPLOYMENT, HOUSING, TRANSPORTATION, SKILLS OF DAILY LIVING AND COMMUNITY INCLUSION. IT IS ESTIMATED THAT 1 IN EVERY 5 AMERICANS (20%) HAS SOME FORM OF DISABILITY (U.S. CENSUS BUREAU, 2000).
