“The organization has provided a copy of the current year 990 to all members of the governing body prior to filing this form. Once the audit for the FY is complete, the Form 990 is prepared by the CFO. It matches 100% to the audit. Once completed, the Form 990 is reviewed and discussed with both the Officers and Audit/Finance Committee. Once all concerns or questions are addressed, the Form 990 is approved for mailing by the Audit/Finance Committee and distributed to the entire Board prior to mailing.”

“Conflict of interest policy - A member of the Board of Directors will display no conflict of interest in their execution of their responsibilities as a member of the Board of Directors. Board members are prohibited from using their position for purposes that give the appearance of being motivated by a desire for private gain for themselves or others, such as those with whom they have family, business or other ties. Any conflict of interest or possible conflict of interest on the part of any Board Member will be disclosed to the other members of the Board and made a matter of record in the event the interest becomes a matter of Board action. Any Board Member having a conflict of interest or possible conflict of interest on a specific matter may not vote or use their personal influences in the matter. The minutes of the meeting will reflect a disclosure was made and the abstention in voting. This policy will be reviewed with all new Board Members, and annually during Board training or at the annual officer election meeting. This conflict of interest policy applies to all employees consultants, contractual personnel, Members of the Board of Directors and volunteers.”

The compensation is reviewed annually, except during first year of pandemic, and is typically a select group led by the Board President. This group performs a compensation analysis using information from comparable non-profits in the area. If the select group determines a raise is warranted they communicate this with the CFO as well as vote in private session on the amount and timing of any increase. Once the increase is approved, the details are provided to the CFO so the change can be enacted. All other employee or contractor compensation is established by the CEO.”
