Governance Explanations

Form 990, Part VI, Section A, Line 6

The membership in this association shall be composed of five categories: active, associate, branch, honorary and special memberships. Each member agrees to comply with the association's code of ethics. The term of membership shall be annual and run from january 1 to december 31 of each year. Active membership shall be limited to individuals, companies or corporations engaged in the business of buying and selling any and all types of motor vehicles as a licensed, independent automobile dealer at an established place of business in texas. Each company or corporation member shall designate a representative who shall be an employee, partner or stockholder of the company or corporation, to cast votes for the company or corporation. The voting rights accorded to the active membership of tiada shall be to participate in the election of officers at the annual convention. Active members can also serve as delegates through their respective local chapters, as at-large delegates and may participate in any called membership meeting outlined by these bylaws. No proxy voting shall be recognized. The following membership categories shall have no vote nor be eligible to hold office in this association: a) associate membership: associate membership shall be available to individuals, companies or corporations engaged in a business related to, associated with, or assisting individuals engaged in the automobile business, such as: automobile finance companies, wholesale auto auctions, banks, dealers outside the state of texas, automobile parts companies, garages, insurance companies or agents, owners of franchised automobile dealerships or other businesses engaged in the sale of services, supplies or merchandise, dealing with active members of this association. B) branch membership: branch membership shall be available to any person, or business firm owned by or affiliated with an active or associate member of the association. C) honorary membership: an honorary membership may be bestowed on individuals, companies or corporations for their exemplary service to this association, as duly chosen for such an honor by the board of directors. D) special membership: a special membership shall be available to individuals, partners, a collection of individuals, companies or corporations who wish to become affiliated with this association, such as elected officials and associations of automobile related industries upon payment of special membership fees as determined by the board of directors.

Form 990, Part VI, Section A, Line 7A

Active members of the association are the only voting member class. Active members participate in the election of offices the annual convention. No proxy voting shall be recognized. In said election each active member will have one vote to cast for each position to be elected. Candidates receiving a majority of votes for each office shall be declared elected.

Form 990, Part VI, Section A, Line 7B

The supreme governing body of this association shall be the house of delegates. The house of delegates of this association shall be composed of the past presidents of the association, the affiliated local organization delegates, at-large designated delegates, the chairman of the board and the elected officers of the association. The house of delegates shall: (a) approve all changes in the bylaws of the association, (b) approve the legislative agenda and, (c) establish the annual dues, (d) review any audited or reviewed financial statement from the previous fiscal year.

The return will be presented to the board of directors and the finance committee for their review and approval. The executive director and the accountant will also review the form 990 prior to filing and ensure the return is filed.

Form 990, Part VI, Section B, Line 12C

Persons covered by the conflicts of interest policy are the association's officers, executive committee, chief employed executives and chief employed finance executive. Persons covered by this policy will annually disclose or update the chairman of the board of directors on a form provided of their interest that could give rise to conflicts of interest. For each interest disclosed to the chairman to the board of directors, the chairman will determine whether to take action, assure full disclosure, ask the person to recuse from participation, or ask the person to resign from their position. The association's chief employed executive and chief employed finance executive will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the chairman of the board of directors.

The board of directors is the one who approves the compensation for the executive director. The compensation process for executive director is done every five years by reviewing the american society of association executives salary and benefits study and other industry standards localized to the state of texas. The executive committee reviewed the compensation back in 2014 and again in 2019.

Financial Statement Notes

PART X, LINE 2:

The association is organized as a nonprofit corporation and has been recognized by the internal revenue service ("irs") as exempt from federal income taxes under internal revenue code ("irc") section 501(c)(6) as an organization described in irc section 501(a). The association is annually required to file a return of organization exempt from income tax with the irs. In addition, the association is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The association is subject to unrelated business income tax on advertising activities. Management has concluded that any tax positions that would not meet the more-likely-than-not criterion of financial accounting standards board ("fasb") accounting standards certification ("asc") 740-10, accounting for income taxes, would be immaterial to the financial statements taken as a whole. Accordingly, the accompanying financial statements do not include any provision for uncertain tax positions, and no related interest or penalties have been recorded. Federal tax returns of the association are generally open to examination by the relevant taxing authority for a period of three years from the date the returns are filed. Trade associations may support legislation favorable to their industries and oppose detrimental legislation without losing exemption under section 501(c)(6) of the irc. A 501(c)(6) organization may permissibly engage in any amount of legislative activity germane to the common business interest of the organization's members. The association has notified members that a portion of their dues are non-deductible.

EACH COMPANY OR CORPORATION MEMBER SHALL DESIGNATE A REPRESENTATIVE WHO SHALL BE AN EMPLOYEE, PARTNER OR STOCKHOLDER OF THE COMPANY OR CORPORATION, TO CAST VOTES FOR THE COMPANY OR CORPORATION. THE VOTING RIGHTS ACCORDED TO THE ACTIVE MEMBERSHIP OF TIADA SHALL BE TO PARTICIPATE IN THE ELECTION OF OFFICERS AT THE ANNUAL CONVENTION. ACTIVE MEMBERS CAN ALSO SERVE AS DELEGATES THROUGH THEIR RESPECTIVE LOCAL CHAPTERS, AS AT-LARGE DELEGATES AND MAY PARTICIPATE IN ANY CALLED MEMBERSHIP MEETING OUTLINED BY THESE BYLAWS. NO PROXY VOTING SHALL BE RECOGNIZED. THE FOLLOWING MEMBERSHIP CATEGORIES SHALL HAVE NO VOTE NOR BE ELIGIBLE TO HOLD OFFICE IN THIS ASSOCIATION: A) ASSOCIATE MEMBERSHIP: ASSOCIATE MEMBERSHIP SHALL BE AVAILABLE TO INDIVIDUALS, COMPANIES OR CORPORATIONS ENGAGED IN A BUSINESS RELATED TO, ASSOCIATED WITH, OR ASSISTING INDIVIDUALS ENGAGED IN THE AUTOMOBILE BUSINESS, SUCH AS: AUTOMOBILE FINANCE COMPANIES, WHOLESALE AUTO AUCTIONS, BANKS, DEALERS OUTSIDE THE STATE OF TEXAS, AUTOMOBILE PARTS COMPANIES, GARAGES, INSURANCE COMPANIES OR AGENTS, OWNERS OF FRANCHISED AUTOMOBILE DEALERSHIPS OR OTHER BUSINESSES ENGAGED IN THE SALE OF SERVICES, SUPPLIES OR MERCHANDISE, DEALING WITH ACTIVE MEMBERS OF THIS ASSOCIATION. B) BRANCH MEMBERSHIP: BRANCH MEMBERSHIP SHALL BE AVAILABLE TO ANY PERSON, OR BUSINESS FIRM OWNED BY OR AFFILIATED WITH AN ACTIVE OR ASSOCIATE MEMBER OF THE ASSOCIATION. C) HONORARY MEMBERSHIP: AN HONORARY MEMBERSHIP MAY BE BESTOWED ON INDIVIDUALS, COMPANIES OR CORPORATIONS FOR THEIR EXEMPLARY SERVICE TO THIS ASSOCIATION, AS DULY CHOSEN FOR SUCH AN HONOR BY THE BOARD OF DIRECTORS.
