“The board of directors review the conflict of interest policy annually with the election of new officers. At this time any new board members are asked to sign the conflict of interest policy, and all pre-existing board members are asked to reaffirm that they do not have any association with companies, individuals, or groups who directly or indirectly benefit financially from their involvement with nabe. Nabe board members review all contracts that nabe enters into, and board members are required to inform the rest of the board if they have any association with the company, individual or group that will benefit from the contract. In the event that there is a relationship with an existing board member, the member with the conflict of interest will be asked to explain their relationship and the rest of the board will then make a determination as to whether or not the relationship constitutes a conflict of interest. If it is found that there is a conflict of interest, then the contract will not be considered.”
