Circle School

“Membership consists of parents and legal guardians of students enrolled in the school's programs. There is only one level of membership.”

“The membership elects the board of directors annually.”

“The membership approves the governing board's decisions related to the annual operating budget, fees charged to members, debt incurred on behalf of the school, sales of assets over 10,000, and the dissolution, merger or amending the certificate of formation.”

“The form 990 is prepared by a third party cpa firm. Upon initial completion, the form 990 is provided to the treasurer who reviews with the president and finance administrator. Upon receiving approval by the treasurer, the form 990 is completed for filing. The filing copy is signed by an officer of the organization and filed with the internal revenue service. The form990 is made available to the board of directors electronically upon request.”

“The school's conflict of interest policy covers any director, principal officer, or member of a committee with governing board delegated powers, who have a direct or indirect financial interest as defined in the school's policy. It is the duty of the interested person to disclose any potential conflicts of interest to the governing board or committee. Upon disclosure and discussion, the remaining board or committee members decide if a conflict of interest exists and exercises due diligence in determining if the school may obtain a more advantageous transaction or arrangement. The interested person may not be in attendance during discussion and voting of the possible conflict of interest.”

“The school does not compensate a top management official.”

“When determining compensation, the organization considers outside data such as compensation surveys. Compensation is established and voted on by independent directors and documented in writing. Compensation for directors was only for acts which were not specifically under their responsibilities as directors and in accordance with the same pay scale/rates set for all other employees filling those roles.”

“The governing documents, financial statements and conflict of interest policy are made available to the public on a case by case basis upon request.”

“The circle school's mission is to foster and encourage each child's awareness and respect for her/his own unique self, within a framework of shared community ethics and knowledge, as a foundation for relevant and innovative leadership development as citizens of the world.”
