“Officers are nominated by members of the organization. Nominees are accepted and then the members of the organization vote to determine who is elected to the position.”

“Significant management decisions are presented to the members for their approval in the monthly member meetings. Approval is evidenced by a majority vote of the members in attendance.”

“Form 990 is prepared by the association's certified public accountant (cpa). Prior to filing of the return, the officers and key employee meet with the cpa to review the return in detail. Each is provided with a copy. Any questions or issues raised are addressed and resolved before the return if filed.”

“The association does have a conflict of interest policy included in its executive board rules. The policy covers officers and key employees as well as voting union members. The officers and key employee monitor proposed and ongoing transactions for conflicts of interest and determine whether a conflict exists. Any person identified as having a conflict of interest is prohibited from participating in the deliberations and decisions regarding the transaction.”

“On a periodic basis, officer compensation is reviewed and approved by the members. Key employee compensation is reviewed and approved by the executive board. Data regarding comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations is considered in the process.”
