Mission

The new jersey civil justice institute (the "institute") is the state's leading organization advocating for the business community on matters of law and legal policy. The institute promotes a fair and predictable civil justice system, and defends the value of the rule of law in protecting innovation and fostering economic growth. The institute advocates for legislation and regulations that promote fairness, justice, and the rule of law. The institute advocates in the courts for clear, consistent and efficient principles of law.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's board approved changes to the by-laws at a meeting on december 17, 2013. The changes are as follows: 1. Section 4.5: membership dues - there will no longer be a 60 day deadline for members to submit dues - this will be the discretion of the board of trustees. 2. Section 5.3: assumption of office - newly elected trustees assumption of office will be determined by the board of trustees if there is no predecessor. 3. Section 6.1: annual meetings - wording changed to eliminate the reference to the second week in january. 4. Article viii: officers - the title of "president" was changed to "chair of the board" and the title of "president" was added as an additional board position. A definition of the "president" was added in section 8.5 under this article. To reflect the new board position the references to the remaining sections in this article changed along with the wording throughout the by-laws. 5. The definition of the "treasurer" was updated to also clarify the duties of this officer.

The form 990 is prepared by an independent cpa firm. A draft of the return is given to the president who will distribute copies of the form 990 to all board members. The board will then review and comment on the form 990 prior to its filing.

The president works with the board of directors to ensure all members properly report conflicts of interest and discuss how the policy is enforced.

The compensation and benefits of the organization's top management officials are determined by the board of directors. The board appoints a committee which annually reviews and evaluates performance, salary and past work experience. The committee then makes recommendations to the board about the compensation and benefits to be paid.

The organization's board assumes responsibility for oversight of the review of its financial statements and selection of an independent accountant. The board accepts recommendations from the president and relies on the president to address any concerns during the review of its financial statements.

Financial Statement Notes

PART X, LINE 2:

Njcji accounts for uncertainty in income taxes recognized in the financial statements using a recognition threshold of more likely than not as to whether the uncertainty will be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold. Njcji's federal exempt organization returns are no longer subject to examination by the internal revenue service for years prior to 2010.
