Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Raphael Realty passes out a questionnaire about conflict of interest to be filled out and returned by each Director and Officer. The policy includes statements about other employment and being related to anyone on the Board of Directors and other items that may be an issue. Potential issues are identified, evaluated and discussed with the appropriate level of management or members of the Board of Directors.

Part X : FIN48 Footnote

Raphael Realty Inc. (Realty) has been recognized by the Internal Revenue Service as a not-for-profit corporation as described in Internal Revenue Code Section 501(c)(2). The corporation is exempt from federal income taxes unless tax on unrelated business income is applicable. Management believes that Realty has adequately addressed all relevant tax positions and that there are no unrecorded tax liabilities. Management believes it is no longer subject to income tax examination for years prior to 2011.
