Policy on Potential Conflicts of InterestThe following policy is designed to avoid any possible conflict between the personal interest of Board members, committee chairs, members and staff/contractors and the interests of AAFAME. This policy also applies in any case in which a committee chairperson or committee member may be delegated the authority to transact any business on behalf of AAFAME. The purpose of this policy is two-fold. First, the policy seeks to reflect the spirit of AAFAMEs commitment to promote the highest ethical standards in commercial real estate. Second, the policy seeks to ensure that decisions about AAFAME operations and the use or disposition of AAFAME assets are made solely in terms of the benefits of AAFAME and are not influenced byany private profit or other personal benefit to the individuals affiliated with AAFAME who take part in the decision. In addition to actual conflicts of interest, board members are also obligated to avoid actions that could be perceived or interpreted in conflict with AAFAMEs interest. Conflicts of interest may occur when AAFAME enters into transactions with not-for-profit organizations as well as those that are undertaken with profit-making entities. The best way to deal with this problem is to make known ones connection with organizations doing businesswith AAFAME and to refrain from participation in decisions affecting transactions between AAFAME and the other organization. Such relationships do not necessarily restrict transactions so long as the relationship is clearly divulged and non-involved individuals affiliated with AAFAME make any necessary decision.Policy:Any member of the Board of Directors, committee chairs, members and staff/contractor who may be involved in a AAFAME business transaction in which there is a possible conflict of interest shall promptly notify the President. That person shall refrain from voting on any such transaction, participating in deliberations concerning it, or using personal influence in any way in the matter. That persons presence may not be counted in determining the quorum for any vote with respect to a business transaction in which he or she has a possible conflict of interest. Furthermore, that person, or the President in the Directors absence, shall disclose a potentialconflict of interest to the other members of the Board before any vote on a AAFAME business transaction and such disclosure shall be recorded in the Board minutes of the meeting at which it is made. Any AAFAME business transaction which involves a potential conflict of interest with a member of the Board of Directors, committee chairs, members and staff/contractors shall have terms which are at least as fair and reasonable to AAFAME as those which would otherwise be available to AAFAME if it were dealing with an unrelated party. A written disclosure regarding any possible conflicts and of any adjustments made to avoid possible conflicts of interest shall be kept by the Executive Vice President.Definitions:A. Involved in a AAFAME business transaction means initiating, making the principal recommendation for, or approving a purchase or contract; recommending orselecting a vendor or contractor; drafting or negotiating the terms of such atransaction; or authorizing or making payments from AAFAME accounts. Thatlanguage is intended to include not only transactions for AAFAMEs procurement ofgoods and services, but also for the disposition of AAFAME property, and theprovision of services or space by AAFAME.B. A possible conflict of interest is deemed to exist where the person or close relative, or a member of that persons household, is an officer, director, employee,proprietary, partner, or trustee of, or, when aggregated with close relatives andmembers of that persons household, holds 1% or more of the issued stock in theorganization seeking to do business with AAFAME. Began holding more phone conferences to avoid time away from office and traffic concerns.25 members participated in the Incentive Program to receive free dues & luncheons on 2016. This program has helped to increase the involvement of engineer members in committee activities & ultimately in a leadership role. The 2nd Annual ARCH (AAFAME Recognition of Champions) Award was presented at the 19th Annual Managers Luncheon held in February 2015 at the Austin Country Club with 320 in attendance.Awarded the AAFAME Volunteer Star to 28 key members at our monthly luncheons who went above and beyond the call of duty while volunteering for AAFAME. We celebrated our 30th Anniversary as an association and created a special logo to signify this milestone. We also held a Pearl Celebration in downtown Austin to celebrate the occasion!This year we awarded $1,000 in scholarships as part of our AAFAME Education Advancement Scholarship program for members and their children who are attending college/university programs. Total to date awarded is $9,335. Awarded 5 scholarships to be used towards either a SMA or LEED Designation in 2015. AAFAME has awarded $22,325 towards designation scholarship since 2009.We adopted our first ever Strategic Plan to be implemented over the next 3 years with our top priority to improve membership benefits.Membership continues to sustain itself by word of mouth & the growth of Austin in general, we currently have 470 individuals which is made up of 60% engineers and 40% vendors.30% of our building engineer members maintain a BOMI (RPA, SMA, FMA) or LEED Designation.Over 850 attendees (17% growth over last year) at our signature event the 23rd Annual Chili Slam held at Krieg Field in April 2015. This year we held it on Friday which proved to be very successful as shown by the attendance numbers.Held our 13th Annual Vendor EXPO @ the Palmer Event Center with over 85 booths & 300 attendees. Palmer Event Center continues to be the preferred location for this event.Our Annual Adventure Quest benefiting Big Brothers Big Sisters hosted at Concordia University with 70 teams participating was able to raise $6,000 donation for a 4-year total of $29,236. This year a significant effort and investment was made in the checkpoints which was highly rated by the participants.Our Community Services committee worked with Helping the Aging Needy and Disabled (H.A.N.D.), The Veterans Day Parade, Foundation Communities & Sammys House with projects requiring volunteers to donate time & materials on their own time.Our Annual Holiday Luncheon was attended by over 284 attendees. Our Holiday event is becoming well known as the fun event where the audience is the entertainment. We swore in our incoming officers with an oath to uphold the standards of AAFAME.AAFAME was a co-host of the 15th Annual Power Luncheon with other prestigious Commercial Real Estate associations in Austin.We recognized our leadership including board members & committee chairs at the November luncheon for their efforts in AAFAME growth!Printed a membership directory to be distributed to over 600 commercial real estate professionals and also provided a real time online directory of members including vendor servicesProduced informative newsletters with association news and articles of interest. Average read rate of 28% with a mailing list of 900 emails. Continued relationship building with BOMA and other professional organizations such as USGBC and IREM. Sponsored registration at BOMA Clay Shoot and provided volunteers to conduct registration. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Policy on Potential Conflicts of InterestThe following policy is designed to avoid any possible conflict between the personal interest of Board members, committee chairs, members and staff/contractors and the interests of AAFAME. This policy also applies in any case in which a committee chairperson or committee member may be delegated the authority to transact any business on behalf of AAFAME. The purpose of this policy is two-fold. First, the policy seeks to reflect the spirit of AAFAMEs commitment to promote the highest ethical standards in commercial real estate. Second, the policy seeks to ensure that decisions about AAFAME operations and the use or disposition of AAFAME assets are made solely in terms of the benefits of AAFAME and are not influenced byany private profit or other personal benefit to the individuals affiliated with AAFAME who take part in the decision. In addition to actual conflicts of interest, board members are also obligated to avoid actions that could be perceived or interpreted in conflict with AAFAMEs interest. Conflicts of interest may occur when AAFAME enters into transactions with not-for-profit organizations as well as those that are undertaken with profit-making entities. The best way to deal with this problem is to make known ones connection with organizations doing businesswith AAFAME and to refrain from participation in decisions affecting transactions between AAFAME and the other organization. Such relationships do not necessarily restrict transactions so long as the relationship is clearly divulged and non-involved individuals affiliated with AAFAME make any necessary decision.Policy:Any member of the Board of Directors, committee chairs, members and staff/contractor who may be involved in a AAFAME business transaction in which there is a possible conflict of interest shall promptly notify the President. That person shall refrain from voting on any such transaction, participating in deliberations concerning it, or using personal influence in any way in the matter. That persons presence may not be counted in determining the quorum for any vote with respect to a business transaction in which he or she has a possible conflict of interest. Furthermore, that person, or the President in the Directors absence, shall disclose a potentialconflict of interest to the other members of the Board before any vote on a AAFAME business transaction and such disclosure shall be recorded in the Board minutes of the meeting at which it is made. Any AAFAME business transaction which involves a potential conflict of interest with a member of the Board of Directors, committee chairs, members and staff/contractors shall have terms which are at least as fair and reasonable to AAFAME as those which would otherwise be available to AAFAME if it were dealing with an unrelated party. A written disclosure regarding any possible conflicts and of any adjustments made to avoid possible conflicts of interest shall be kept by the Executive Vice President.Definitions:A. Involved in a AAFAME business transaction means initiating, making the principal recommendation for, or approving a purchase or contract; recommending orselecting a vendor or contractor; drafting or negotiating the terms of such atransaction; or authorizing or making payments from AAFAME accounts.
