At all stages, each member is furnished in advance with copies for review and all questions and corrections are resolved before it is moved up to the next level of the process.”

Heart of texas goodwilll industries has a procedure for determining compensation as follows: the executive review committee is appointed by the board chair with authority to consult with any outside parties it deems necessary to include compensation consultants and/or attorneys and to purchase any studies it needs to make its decisions. This committee makes a recommendation to the executive committee which may review but not change the recommendation. The entire board then considers the recommendation and may or may not ask for additional information and/or consultation. Board members are reminded at the time of any potential conflict of interest and if they are found that board member may not vote on the issue. Minutes are kept all committee and board meetings.”
