Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is first reviewed and approved by the accountant, executive director, and finance committee. It is then provided to the entire board of directors.

Form 990, Part VI, Section B, Line 12C

All staff and board have copies and sign policies annually. This is part of the board orientation process. Board members disclose potential conflicts, exempt themselves from discussion. The executive committee and board address potential conflicts of interest as warranted.

Form 990, Part VI, Section B, Line 15A

The board sets the ceo compensation level using the colorado nonprofit association data as a reference and procures an assessment of compensation for comparable positions from mountain states employers council. Compensation for other key employees is determined by the executive director. Salaries and fte for key personnel on federal grants and cooperative agreements are reviewed by the federal project officer, though no formal approval is required. Salaries are determined on comparable positions using the same sources listed above, the nonprofit market in the appropriate city, as well as comparative salaries of parallel positions in other parent centers around the country.

Form 990, Part VI, Section C, Line 18

Form 990 is available upon request at the organization's office as well as on www.guidestar.org. Other organization documents are available at the organization's office upon request.

Form 990, Part VI, Section C, Line 19

The organizations governing documents, conflict of interest policy, and financial statements are available upon request.
