An affiliate organization of the denver metro chamber of commerce, the foundation is the state's premier leadership organization with a history of preparing and connecting leaders from the business and civic communities to strengthen colorado's future. The leadership foundation helps emerging and recognized leaders expand their skills, enhance their knowledge of local and state issues, and leverage their individual passion to make positive changes in our community. The foundation also enhances individual, career and professional growth while creating value for participating companies.

Governance Explanations

Form 990, Page 6, Part VI, Line 4

The leadership foundation amended and restated its articles of incorporation and bylaws, which were approved and adopted by the board of directors on may 21, 2025. The purpose of the organization was updated to clarify it is organized and operates exclusively for charitable, scientific, or educational purposes in support of the sole voting member, which is dmcc, within the meaning of 501(c)(3). The documents affirm dmcc's fiduciary responsibilities as the voting member to include: approving and removing directors of the foundation's board, appointing representatives, fill ex-officio posts, and that the dmcc ceo serves as the leadership foundation's ceo.

Form 990, Page 6, Part VI, Line 11B

The form 990 is initially reviewed by the director of accounting and the senior vp of finance and operations and the president of the foundation. The 990 is then distributed electronically to the foundation finance and audit committee for pre-read and then reviewed at a finance and audit committee meeting. At the meeting, representatives from the audit firm present the 990 to the committee. When the committee is comfortable with the 990, the committee will then recommend that it be presented to the foundation board of directors for acceptance. A representative from the finance and audit committee, typically the chair, will present the 990 to the board with assistance from representatives from the audit firm as necessary. If the board votes to accept the 990, it moves forward to the voting member for review and approval, dmcc board of directors. The 990 is not officially filed until review and approval by the dmcc board of directors.

Each conflict of interest questionnaire is reviewed internally and summarized by the foundation's senior vp of finance and operations. This summary, along with any disclosures, is reviewed by the chamber's vice president of finance and operations to determine if there are concerns or if additional information is needed. The summary, along with any areas of concern, is then presented to the finance and audit committee to determine if there are any conflicts. The finance and audit committee presents a summary of their findings to the foundation board.

The organization reviews the total compensation of the president position using three sources - employers council salary survey (ec), american chamber of commerce executives salary survey, and watson wyatt salary survey or other comparable data sources to evaluate all salaries. In addition to utilizing these three independent sources, the organization also has a compensation committee consisting of three uncompensated board members - the chair of the board, the past chair of the board, and the chair-elect of the board. The committee approves top management total compensation.

Leadership denver, access denver, leadership alumni network, leadership fellows, colorado leadership alliance,community partnerships, and other programs are designed to prepare and connect leaders from the business and civic communities to strengthen colorado's future. Impact denver builds confidence and leadership skills for young professionals while introducing them to topics of significance to the region. Inclusive of contributions made to the program in fiscal year 2025, this program generated total revenue of 188,794 and expenses of 150,826 for a program net of 37,968. Access denver exposes senior-level denver executives to the influential people and critical issues of the denver area, providing an exclusive two- day introduction to the city's business and community landscape. Inclusive of contributions made to the program in fiscal year 2025, this program generated total revenue of 64,320 and expenses of 79,976 for a program net loss of (15,656). Leadership alumni network ties together over 5,000 alumni of the leadership foundation's programs, who represent the denver metro region's business, civic, and community leaders. Inclusive of contributions made to the program in fiscal year 2025, this program generated total revenue of 2,500 and expenses of 47,476 for a program loss of (44,976). Leadership fellows helps leaders with a deep commitment to colorado to further develop their leadership skills so they can increase their business and civic impact. Inclusive of contributions made to the program in fiscal year 2025, this program generated total revenue of 55,762 and expenses of 57,512 for a program net loss of (1,750). The colorado leadership alliance develops the next generation of colorado's leaders through a consortium of leadership education programs at undergraduate institutions across colorado. Inclusive of contributions made to the program in fiscal year 2025, this program generated total program revenue totaled 0, and expenses of 18,899 for a program net loss of (18,899). Community partnerships program revenue totaled 0, and expenses totaled 37,119, for a net loss of (37,119). Inclusive of contributions made to other programs in fiscal year 2025, other programs generated revenue totaling 0 and expenses of 152,200, for program losses of (152,200).
