Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Step 1: electronic copy of draft 990 is delivered to each director on the board. Step 2. Questions, comments or possible corrections are discussed by all directors and acmi management staff via email for no more than a 10 business day period. Step 3. A final draft is prepared by auditor and delivered to each director. Step 4. Approval is conferred in 2 business days unless dissent is expressed by an individual director or the key employee. Step 5. If no dissent is expressed, the auditor is instructed to submit the 990 and approval is ratified at the next scheduled meeting of the board of directors. Step 6. If dissent is expressed, the process repeats until step 4 is successful.

All members of the board of directors complete and sign the conflict of interest form published in the policy manual upon appointment. The form is reviewed and ratified or reviewed and edited annually with a dated signature. All employees read and sign the employee handbook, which includes a conflict of interest policy, upon hire. Employees are asked to review and discuss any potential conflicts during scheduled performance evaluations.
