Form 990, Part VI, Line 1A DELEGATE BROAD AUTHORITY TO A COMMITTEE

Phoenix children's hospital foundation's executive committee shall consist of the chairman of the board of directors/president, the president of the statutory member and five other members of the board of directors who shall be elected by the board of directors following each annual meeting. Except as otherwise provided by law, the corporations articles of incorporation, or the bylaws, the executive committee shall have and may exercise the powers of the board of directors and the management of the business and affairs of the corporation.

Form 990, Part VI, Line 15A PROCESS TO ESTABLISH COMPENSATION OF TOP MANAGEMENT OFFICIAL

Phoenix children's hospital foundation does not have any direct employees. All payroll is centralized through a related tax-exempt organization, phoenix children's hospital (pch) (ein: 86-0422559). Salary expenses reported on form 990, part ix, lines 5 and 7 represents an allocation of salaries and wages paid by pch. Form 941 reporting these salaries and wages is filed under the pch ein. The top management official's compensation is subject to review and determination by the compensation committee of pch. Pch uses the following procedure to establish the compensation of the foundation's top management official: pch uses the services of an outside compensation consulting firm to make market comparisons of compensation, including both base salary and incentive programs. These plans are reviewed with and ultimately approved by the board of directors' compensation committee. After completion of the year end audit, the compensation committee meets to evaluate performance of the ceo and key executives and to approve the recommendation of the svp of human resources and the ceo, based on the criteria in the previously approved plan. This process was last completed in 2024. Other employees are subject to the human resource policies, including compensation arrangements, of pch.

As arizona's only licensed, freestanding, nonprofit children's hospital, phoenix children's hospital (the hospital) operates with the mission to advance hope, healing and the best healthcare for children and their families, as well as the vision that the hospital will be the leading pediatric health system in the southwest, nationally recognized for exceptional care, innovative research and advanced medical education. We realize this vision by: * offering the most comprehensive care across ages, communities and specialties * investing in innovative research, including emerging treatments, tools and technologies * advancing education and training to shape the next generation of clinical leaders * advocating for the health and well-being of children and families the hospital has the goal of developing a pediatric-focused, integrated delivery system for maricopa county and arizona. The hospital provides care to the state's pediatric patients in more than 75 subspecialties and includes 8 centers of excellence offering interdisciplinary care: center for cancer and blood disorders, phoenix children's center for heart center, barrow neurological institute at phoenix children's hospital, center for pediatric orthopedics and sports medicine, level 1 pediatric trauma center, center for fetal and neonatal care, center for cleft and craniofacial care and center for spine care. The hospital is one of the country's largest and busiest children's hospitals, with 557 licensed beds and a medical staff of over 1,400 practitioners. In addition to the hospital's main campus near downtown phoenix, arizona, the hospital provides clinical services through its network of integrated physicians in approximately 100 practice sites throughout maricopa county, the primary service area of the hospital. The hospital also provides specialty pediatric services in tucson, yuma, flagstaff, mesa, scottsdale, glendale, and avondale. Affiliates of the hospital include the phoenix children's hospital foundation (the foundation); arizona children's risk solutions (the captive); phoenix children's care network (pccn); and phoenix children's cardiology diagnostics, llc (pccd), collectively referred to as the company. As hospital volumes have grown, pch has been able to provide more subspecialized care through investments in specialized medical staff and technology. Today the organization focuses investment on the seven centers of excellence ("coes") to improve access to care for the children in arizona and the southwestern united states. Since 2011, the rigorous "best children's hospitals" survey conducted by u.s. News & world report asks hundreds of questions about a hospital's survival rates, nurse staffing, subspecialists' availability and many other pieces of critical information that's difficult or impossible for patients' families and care-givers to find on their own. U.s. News takes all of this data and combines it with a reputation score that's based on a survey of pediatric specialists from across the country. For the 14th consecutive year, u.s. News & world report has ranked phoenix children's among the nation's "best children's hospitals." the health system was also named the no. 1 children's hospital in arizona and third in the southwest region. Phoenix children's is the only children's hospital in arizona ever to be recognized by u.s. News & world report. Pch began with four coes but has expanded to seven coes offering interdisciplinary care, each of which is described below. Louis center for pediatric orthopedics at phoenix children's is expertly trained to care for children and teens who experience musculoskeletal injuries or diseases and conditions impacting musculoskeletal function. Phoenix children's has arizona's only dedicated pediatric dialysis center and pediatric kidney transplant program. Phoenix children's hospital has 202 icu beds (nicu, picu & cvicu), one of the largest among all freestanding children's hospitals in the country, and one of only a handful in the u.s. Performing the extracorporeal membrane oxygenation (ecmo) procedure. Phoenix children's has the first and only pediatric radiology fellowship program in arizona. The division of radiology occupies 45,000 square feet of the first floor. Phoenix children's operates four specialty and urgent care centers, located in scottsdale, the east valley, the west valley and the northwest valley. Approximately 55 percent of phoenix children's patients are covered by ahcccs, arizona's medicaid program for low-income families. The tracheotomy and airway program is the only comprehensive inpatient and outpatient service in arizona that cares for children with tracheostomies and home ventilators.

Volunteers make a difference for patients and families at phoenix children's hospital (pch) every day by giving the gift of time. The volunteers each have something unique to offer and come from all backgrounds and walks of life. Volunteers are an important part of pch's team that provides the best hope, healing and care to children and families. Each week, over 486 volunteers donate three to four hours of service in over 50 areas of the hospital. Additionally, phoenix children's hospital foundation holds special fundraising events where approximately 1838 volunteers donate time; volunteers are heavily relied upon to provide enjoyable activities for the event participants. Pch volunteers pledge a minimum of 100 hours and must be at least 16 years of age. Volunteers go through the same screening and orientation process as employees in terms of application, background check, general hospital orientation, hipaa, confidentiality training, extensive hands-on training and additional training as necessary for different positions.
