“The organization has voting members and nonvoting members. Voting members must be persons eighteen years of age or older, who fall into one or more of the following categories: (a) members of the board of directors; (b) the head coach of each recreational team; (c) the head coach and team manager of record for each competitive team; and (d) one committee chair of each of the standing committees of the association. Any person designated as a voting member through more than one category shall be entitled to only one vote. Nonvoting members are comprised of all persons associated with the association as active players, players' parents, players' legal guardians, coaches, referees, and committee members. Nonvoting members are entitled to attend all meetings of directors and voting members, but do not have a vote.”

ANNUALLY, THE ORGANIZATION REVIEWS AND DISCUSSES THE CONFLICT OF INTEREST POLICY AND REQUESTS THAT EACH BOARD MEMBER and officer LIST AND ACKNOWLEDGE ANY KNOWN CONFLICTS.”

“THE BOARD OF DIRECTORS COMPLETES AN ANNUAL PERFORMANCE REVIEW OF THE chief EXECUTIVE DIRECTOR. THE BOARD REVIEWS COMPENSATION INFORMATION ON THE COMPENSATION OF INDIVIDUALS IN LIKE POSITIONS AND IN COMPARABLE ORGANIZATIONS. THE BOARD APPROVES ANY CHANGES IN COMPENSATION BASED ON MERIT, PERFORMANCE, AND MARKET ADJUSTMENTS. THE ORGANIZATION HAS NO OTHER PAID OFFICERS OR EMPLOYEES MEETING THE IRS DEFINITION OF A KEY EMPLOYEE.”
