Governance Explanations

The organization has three classes of membership: professional members, registered members, and student members. Professional and registered members are entitled to vote on the election of directors and the amendment of governing documents. Student members do not have voting rights.

Directors may be nominated by the board or by petition of the members of sme. If more than one candidate is nominated for an open position, the individual receiving the most affirmative votes of members is deemed to be elected.

Members have the authority to take matters to a vote at meetings as decided by the members. Members may also take action to amend the governing documents of the society.

Form 990 is prepared by an independent cpa firm and reviewed in detail by the organization's top management. The reviewed form 990 is then provided to the board of directors prior to filing with the irs.

Board members receive a copy of the organization's conflict of interest policy as part of their board introduction packet and disclose potential conflicts of interest upon joining the board. Any conflicts thereafter are disclosed as they become known. Board members lacking independence on an issue withdraw themselves from the decision-making process.

Compensation offered to the organization's executive director is established by an independent third-party consultant. This consultant conducts a study of similar organizations in similar industries when determining appropriate salary and benefits for the position. Independent members of the board discuss and approve the compensation package, and a written employment contract is put into place. This process takes place on an annual basis. The board of directors entrusts the executive director with determining compensation for other officers of the organization. Compensation of officers is based on comparability studies of similar positions within the industry. This process takes place on an annual basis.

Financial Statement Notes

PART V, LINE 4:

Sme's endowment funds are intended to further professional growth in the industry by funding scholarships and recognizing professional excellence with awards.

PART X, LINE 2:

The society is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code. There was no unrelated business income tax during the years ended september 30, 2024 and 2023. Accordingly, there is no provision for income taxes from unrelated business income. After they are filed, the society's income tax returns remain subject to examination by taxing authorities generally three years for federal returns and four years for state returns. The society has determined that there are no uncertain tax positions as of september 30, 2024 and 2023, respectively, and there were no income tax related penalties or interest for the period reported in these consolidated financial statements.

THE 2024 MINNESOTA CONFERENCE WAS HELD AT THE DULUTH ENTERTAINMENT CONFERENCE CENTER IN DULUTH, MINNESOTA ON APRIL 15-17, 2024. THE CONFERENCE WAS ATTENDED BY 963 INDIVIDUALS AND FEATURED TWO DAYS OF PROGRAMMING PLUS SHORT COURSES. THERE WERE 167 BOOTHS AND 35 SPONSORING COMPANIES. THE NORTH AMERICAN TUNNELING CONFERENCE WAS HELD JUNE 23-26 IN NASHVILLE TENNESSEE. DRAWING AN ATTENDANCE OF MORE THAN 1380 ATTENDEES, THE EVENT FEATURED A RECORD NUMBER OF REGISTRATIONS, A SOLD-OUT EXHIBIT HALL WITH 201 BOOTHS AND 29 SPONSORING COMPANIES. THE TECHNICAL PROGRAM FEATURED RICH EDUCATIONAL CONTENT, AND ATTENDEES WERE ABLE TO NETWORK AT FUNCTIONS SUCH AS THE OWNERS RECEPTION AND WOMEN IN TUNNELING BREAKFAST. SME'S MIDYEAR MEETING WAS HELD SEPTEMBER 21-23 IN LAS VEGAS, NEVADA. THE EVENT, HELD IN CONJUNCTION WITH MINEXPO, WAS HOSTED AT CAESARS PALACE. THE XXXI IMPC-LNTERNATIONAL MINERAL PROCESSING CONGRESS (IMPC) WAS HELD SEPTEMBER 29-OCTOBER 3 IN WASHINGTON, DC/NATIONAL HARBOR. SME HAS NOT HOSTED THE IMPC IN THE US SINCE 1995.
