“BOMA Austin has delegated all duties commonly performed by the Executive Director and staff of a non-profit organization to a management company. These duties include: Executive management, Board/Committee governance and support, membership services, publications and marketing, education course management, course coordination and support, website content and management, event management and support, accounting, and general administrative services.”

“The bylaws were amended to (a) remove the requirement for a membership application to be approved by a majority vote of the Board of Directors; (b) revise the membership period from anniversary date to calendar year; (c) revise membership categories; (d) revise the timing of the Annual Meeting from November to December; (e) revise the composition of the Board of Directors; (f) revise the number and composition of Officers; (g) adds and defines the role of the Executive Director; (h) adds two standing committees; (i) adds a requirement for the Association to purchase insurance; and (j) adds requirements for compliance and representatives with BOMA International and BOMA Texas.”

“Principal: Individuals representing business entities in the business of owning, managing, developing, leasing or controlling real property.Allied: Individuals representing business entities that manufacture, distribute and/or supply products or services to the commercial real estate industry.Professional: Members of recognized professions associated with the commercial real estate industry as defined by the Membership Policy.Special: Individuals meeting the qualifications of Principal members, except that such individuals are either (1) associated with a business entity that will not support membership in the Association, or (2) a Principal representative who has left his/her position in the commercial real estate industry and is seeking continued employment in the industry. This membership category is approved at the sole discretion of the Board of Directors.Non-Voting Membership - Affiliate: The Board of Directors may invite other individuals and individual representatives of other entities interested in supporting the Association and the betterment of the commercial real estate industry by contributions or other support.”

“The Board is elected by voting members at the December annual meeting.”

“The membership votes and approves the three officers (President, Vice President, and Secretary/Treasurer) and any amendments to bylaws.”

“The Board of Directors reviews the Form 990 at a monthly meeting prior to filing.”
