The auditor submits the 990 for signature. The ceo presents the 990 to the executive & finance committee for review.

The executive committee discusses the enforcement of the conflict of interest policy if a conflict of interest is identified.

Form 990, Page 6, Part VI, Line 15A

The executive committee is required by the agency by-laws to conduct an annual review of the performance of the chief executive officer and provide a written evaluation. The evaluation includes comments on performance, outcomes for the upcoming year, and a salary increase and or bonus if merited. The executive committee meets with the chief executive officer to discuss their decision and is presented with a copy of the evaluation. The executive committee votes to approve the evaluation and compensation and this is documented in the executive committee meeting minutes. The executive committee then presents the decision to the full board for approval. This is also documented in the minutes of the board meeting. A copy of the evaluation is placed in the employee file.

Form 990, Page 6, Part VI, Line 15B

The chief executive officer has responsibility for conducting an annual evaluation for all other key staff. There is an evaluation form completed for each staff member. The chief executive officer meets with each staff member individually and signs the annual evaluation form. The board of directors must approve funding within the annual budget for salary increases. If funding is approved for annual increases, the chief executive officer has the discretion to give an annual increase. The evaluation form is also signed by the employee. The original document is placed in the employee file.
