“The bylaws were revised on 9/24/2024 as follows: article v - membership and eligibility section 1. 1a.1 - additional staffing non-voting board members each staffing company board member currently serving on the board will be allowed 1 additional non-voting board member seat that will be allowed to serve on committees but will not be allowed to vote on full board meeting agenda items. Active participation in committees is needed, but this position does not need to comply with article v section 6 of participation. ACTIVE PARTICIPATION IN COMMITTEES IS NEEDED, BUT THIS POSITION DOES NOT NEED TO COMPLY WITH ARTICLE V SECTION 6 OF PARTICIPATION. THE DUES FOR THIS POSITION WILL BE IN COMPLIANCE WITH 1C. 1A.2 - FRANCHISE OWNER BOARD LIMITATIONS TEXAS ASSOCIATION OF STAFFING (TAS) WILL ALLOW FRANCHISE STAFFING COMPANIES TO HAVE ONLY 2 VOTING BOARD SEATS SERVING AT THE SAME TIME. FRANCHISE BOARD WILL BE ALLOWED TO COMPLY WITH 1A.1. ARTICLE VI - DIRECTORS AND OFFICERS SECTION 1. BOARD AND EXECUTIVE COMMITTEE THE AFFAIRS OF THE ASSOCIATION SHALL BE MANAGED BY ITS OFFICERS AND BOARD OF DIRECTORS. THE BOARD SHALL CONSIST OF NO MORE THAN THIRTY-NINE VOTING DIRECTORS. THE NUMBER OF DIRECTORS MAY BE EXPANDED AS NEEDED BY A MAJORITY VOTE OF THE BOARD OF DIRECTORS. THE BOARD OF DIRECTORS SHALL ELECT A BOARD CHAIR AND VICE BOARD CHAIR WHO SHALL SERVE AS PRESIDENT, AND VICE-PRESIDENT RESPECTIVELY. THE PRESIDENT AND VICE PRESIDENT MUST MEET THE QUALIFICATIONS LISTED IN SECTION 2 IN ORDER TO BE NOMINATED. THE CHAIR (PRESIDENT), VICE BOARD CHAIR (VICE PRESIDENT), SECRETARY, TREASURER, AND IMMEDIATE PAST PRESIDENT WILL BE THE EXECUTIVE COMMITTEE. |
