“The executive committee, to the extent permitted by applicable statutes, (i) have the authority of the board of directors between the regular meetings of such board and (ii) perform such other duties as delegated to it by the board of directors. The delegation of authority to the executive committee shall not operate to relieve the board of directors or any individual director of any responsibility imposed upon him by law. Actions of the executive committee will be ratified by the board of directors at the subsequent meeting of the board. Unless otherwise determined by the executive committee, regular meetings of the executive committee shall be held at least once every quarter. In addition, special meetings may be called by the board chair at such time and place as the board chair shall designate.”

“The executive committee reviews the form 990 in detail prior to it being filed. The form 990 is then provided to the board of directors and presented to the board of directors by the organization's accounting firm before it is filed.”

“Annually, the board members are asked if there have been any changes that would cause a conflict of interest with the organization. If any conflicts arise, the board members recuse themselves on voting on any matters pertaining to the conflict.”

“As part of cwee's reorganization in summer of 2020, new salary bands were established across all levels of the organization and are reviewed in detail every other year. In may of 2022, cwee's director of culture and talent performed extensive research and received consultation from employers council on best practices in base pay and compensation. Direct service positions are now aligned with the midpoint for similar positions within denver human services and grouped accordingly. Non-direct service positions are aligned with competitive wages across all three inputs; groupings for these roles were determined by aligning midpoint in the appropriate band as many of these positions serve one specific function that is not shared with other roles with the organization. Cwee's board of directors approved the salary band recommendations. Staff salaries were adjusted july 1, 2022.”
