Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is comprised of the chairperson, chairperson-elect, secretary, and treasurer. In addition, the president, the chief development officer and the director of foundation finance and operations are ex-officio, non-voting members of the committee. The executive committee is empowered by the board to conduct the affairs of the foundation between formal meetings.

Form 990, Part VI, Section A, Line 3

The foundation is operated by employees of the pikes peak state college ('ppsc'). For 990 purposes, ppsc is an unrelated tax-exempt organization as no element of control exists between the college and the foundation. Ppsc has a memorandum of understanding with the foundation to provide office space, furnishings, equipment, supplies, utilities, marketing services, information technology services, custodial services and/or other administrative support services for foundation operations, and the costs associated with such provisions will be covered or shared as separately agreed upon by the parties. The top management and financial officials of the foundation are darlene melby, ppsc's vp of administrative service/cfo and kelly rajab, foundation's director of finance and operations. The foundation's director of finance and operations is an employee of the college serving at the pleasure of the president of the college. The director of finance and operations is overseen by and reports directly to the vp of administrative service/cfo. The director of finance and operations prepares the foundation's annual plan of work and budget and assists in directing all financial and operational activities of the foundation. Other duties include ensuring compliance with all legal requirements set forth in the bylaws, including, but not limited to scheduling and notice of meetings; ensure the appropriate level of confidentiality for contributors; and conduct foundation budget, metrics, and cash flow analyses. The director of foundation finance and operations conducts other affairs of the foundation as directed by the board or the president in accordance with the bylaws. Compensation (including nontaxable benefits) paid to foundation officers reported on part vii, section a, with repect to the conduct of foundation activities for the calendear year ended december 31, 2023 is listed below. Form 990, Part VI, Section B, Line 12C

Board members are required to confirm annually that they are in compliance with the conflict-of-interest policy. Board members annually sign a board commitment to excellence, which includes a statement that the board member will take responsibility for their own behavior, and if they find themselves in an irresolvable conflict with other board members, they will put the vision and needs of ppscf and its scholars first. If a conflict arises, the board member in question will be recused from any vote regarding the conflict.

Form 990, Part VI, Section B, Line 15

The foundation is managed by employees of the pikes peak state college ('ppsc') under the terms of the memorandum of understanding described in part vi, section a, line 3. Ppsc is responsible for the salary and benefits of foundation personnel, unless ppsc and the foundation arrange for reimbursement by the foundation. Ppsc retains the right to control the terms and conditions of employment for its employees, including the right to hire and terminate employees assigned to the foundation. The foundation retains the right to hire its own employees and will be responsible for the salary and benefits of such employees. Ppsc's president and foundation board chairperson will consult with one another prior to any termination of the foundation's chief development officer.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The board treasurer is responsible for ensuring the financial records of the foundation are audited by an independent audit agency and that the results of the audit are reported to the board. Under the memorandum of understanding (see part vi, section a, line 3), the board collaborates with employees of pikes peak state college to select an independent accountant and oversee the annual financial statement audit. This process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

The foundation has received gifts whose principal and, in some instances, use of earnings are restricted to provide tuition assistance to students attending the college, as well as faculty development and special projects for the college.

PART X, LINE 2:

The foundation is exempt, under section 501(c)(3) of the internal revenue code, from tax on income derived from donations, income generated by activities carried on in furtherance of its exempt purpose and certain other specified income and, in addition, is qualified to receive tax deductible contributions. Management believes that based on evaluation of its tax position, any liability as a result of uncertain tax positions would not be material. Management continually evaluates expiring statutes of limitations, changes in the tax laws, and new authoritative rulings to assist in evaluating its tax position. The foundation's information returns are subject to examination by taxing authorities for a period of three years from the date they are filed. As of june 30, 2024, the information returns for three prior years are subject to examination.

THE MAJORITY OF FOUNDATION SCHOLARSHIPS ARE DONOR-DESIGNATED TO FUND STUDENTS WHO ARE COMMITTED TO COMPLETION OF A CAREER-ORIENTED DEGREE OR CERTIFICATE PROGRAM.(CONTINUED ON SCHEDULE O)SCHOLARSHIPS ARE INTENTIONALLY AWARDED TO SUPPORT ENROLLMENT, RETENTION, AND GRADUATION FROM PPSC. SCHOLARSHIP STUDENTS RECEIVE HANDS-ON COACHING AND WRAP-AROUND SUPPORT SERVICES TO HELP THEM SUCCEED AND RESEARCH SHOWS A DRAMATIC INCREASE IN THE PERCENTAGE OF SCHOLARSHIP STUDENTS WHO GRADUATE, TRANSFER, OR STAY IN COLLEGE, PROVIDING A VERY HIGH RATE OF RETURN ON PHILANTHROPIC INVESTMENT.

THE TOP MANAGEMENT AND FINANCIAL OFFICIALS OF THE FOUNDATION ARE DARLENE MELBY, PPSC'S VP OF ADMINISTRATIVE SERVICE/CFO AND KELLY RAJAB, FOUNDATION'S DIRECTOR OF FINANCE AND OPERATIONS.
