Governance Explanations

Form 990, Part VI, Section B, line 11B

The Finance/Audit Committee reviews and approves Form 990 before providing a copy of the return to the board and filing it with the IRS.

Form 990, Part VI, Section B, line 12C

Annually, key employees and board members complete conflict of interest disclosure. The employees and board members are asked to sign the conflict of interest form at the time of hire or appointment to the board and disclose any conflicts. Additionally, there are discussions with key employees throughout the year, especially when new contracts or major purchases are made regarding any potential conflict. Also, the Board Chair will ask board members to disclose conflicts when action is required by the governing body before deliberations and decisions about transactions are needed. If a board member discloses a conflict, they must abstain from deliberations and voting on the matter in conflict. Conflict disclosures are documented in the minutes and the members who abstained from voting.

Form 990, Part VI, Section B, line 15

Fort Bend Seniors has a formal policy on determining compensation for officers and key employees, including review and approval by the board of directors, comparable data, and contemporaneous documentation and record-keeping. The organization adopted a compensation policy that applies to the following persons (if applicable) employed by the organization: the organization's chief hired executive (CEO, ED, or top management official), other Officers or Key Employees of the Organization by title: Chair, Vice Chair, Treasurer, Assistant Treasurer, Secretary, Assistant Secretary, and board members. The process includes all of the following elements: 1. Review and approval. The person's compensation is reviewed and approved by the organization's board of directors or executive committee, provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in this review and approval. 2. Use of comparable compensation data. The person's compensation is reviewed and approved using comparable compensation data for similarly qualified persons in functionally comparable positions at similarly situated organizations. 3. Contemporaneous documentation and record keeping. Contemporaneous documentation and records are kept concerning the deliberations and decisions regarding the compensation arrangement.

IRS990/Desc0HOME DELIVERED MEALS PROGRAM - FORT BEND AND WALLER COUNTY: Fort Bend Seniors' (FBS) goal is to promote better health for eligible homebound older adults by providing nutritious home-delivered meals.See Schedule OClients must be 60 years of age or older and score a minimum of 20 on the Department of Aging and Disabilities Assessment. Eligibility is based on an assessment of impairment in the ability to perform activities of daily living or instrumental activities of daily living; frequency of a person leaving their home or needing assistance to do so; ability to prepare nutritious meals and shop for food, their nutritional risk, and financial resources available to the senior. Services are provided at no cost to the client.CASE MANAGEMENT - FBS provides individual assessments by a trained and degreed case manager to determine seniors' needs in the areas of social services, nutrition, and health care. Once an assessment is completed, FBS staff arrange for the appropriate services to be delivered and provide follow-up reviews to ensure needs are being met. Through case management, participants are assessed for the following services: home-delivered meals, nutrition education, needs assessment, and appropriate referral to other services.HOME DELIVERED MEALS - The meals meet at least 1/3 of the recommended daily allowance of nutrients required by adults. Since the pandemic began, FBS has provided seven meals per week, which include up to four hot, nutritious meals on Monday through Thursday, and three frozen meals delivered on Thursday for the meals on Friday, Saturday, and Sunday. FBS also provides homebound clients with a frozen holiday meal on or before the actual day of the holiday. Depending on the client's needs for medical appointments or geographic location, specific clients receive a once-a-week delivery with one hot meal and the remainder frozen. These clients are contacted a minimum of two additional times per week to ensure they are healthy, consuming their meals, and have access to a microwave to heat their meals properly. Seniors interested in receiving services can contact Fort Bend Seniors' headquarters toll-free at 1-800-643-9654.EMERGENCY SHELF STABLE MEALS - Emergency shelf stable meals are meals with a shelf life of one year that are delivered to seniors for use when home delivery is unavailable due to emergency weather conditions. FBS provides five emergency shelf meals for each client to use during inclement weather when the agency is unable to deliver to clients safely. VOLUNTEERS - Volunteers, part-time staff drivers, and site coordinators are responsible for the daily delivery of the meals. When volunteers deliver the meals, it reduces the operational cost for meal delivery, enabling us to purchase more meals to serve seniors. Meals are delivered directly to the participants or an authorized caregiver. The Meals on Wheels program is more than just a meal delivery. Through our trained staff and volunteers, a homebound senior receives a warm smile, a safety check to help ensure they are well, and any other needs that are identified, such as nutritional education, may be addressed.HOME DELIVERED OUTCOMES: In 2024, FBS delivered 370,787 meals to 1,721 homebound eligible senior citizens in Fort Bend and Waller Counties. Each week, Fort Bend Seniors welcomed new clients to the program. Of the 1,721 home-delivered clients served over the course of 2024, 60 percent lived alone or with their elderly spouse; 18 percent were veterans or surviving spouses of veterans; and 66 percent represented minority populations, primarily African American and Hispanic. Through our annual satisfaction survey of the Home Delivered Meal Clients, we have confirmed that the Meals on Wheels program 1) promotes better health for homebound elderly through improved nutrition and 2) alleviates the isolation and improves the mental health of the homebound elderly through the daily visits during meal delivery.

IRS990/ProgSrvcAccomActy2Grp/Desc0SENIOR ACTIVITY CENTER PROGRAM - FORT BEND AND WALLER COUNTY: Fort Bend Seniors' (FBS) senior activity centers promote better mental and physical health for older people through both nutritious meals and socialization. The senior center nutrition service operates as part of a comprehensive system of services designed to promote independent living for the elderly, serving as a focal point for these services.See Schedule OClient Participants must be 60 years of age or older. When a client enters the program, an Intake and Nutritional Risk Screening is completed to determine the participant's nutritional risk and needs, enabling staff to assist in improving their health. The participant is eligible to choose to participate in all the following services at no cost to the client:SENIOR ACTIVITY CENTER MEALS Senior activity center meals include one hot meal daily that meets at least 1/3 of the recommended daily allowance of all nutrients required by adults, provided in a group setting. An integral part of the Meals on Wheels program, Fort Bend Seniors provides congregate meals five days per week at 7 locations in Fort Bend and Waller counties. The seven site locations providing services, Monday through Friday, are open from 9:00 am to 12:30 pm. Seniors interested in receiving services can visit the Fort Bend Seniors' site nearest them or contact Fort Bend Seniors' headquarters toll-free at 1-800-643-9654. RECREATION: FBS provides daily recreational opportunities for seniors attending the congregate meal program. A monthly calendar of events is offered to seniors outlining upcoming recreational and social programs. Activities include field trips, arts and crafts, bingo, exercise, dancing, and holiday events, providing seniors with opportunities to socialize with their peers on a regular basis. HEALTH SCREENINGS/NUTRITION EDUCATION - FBS provides vital health screenings for seniors at their congregate sites. The program includes annual screenings for hearing, vision, depression, and other senior-related health issues. Nutrition education programs are also provided through this program. These services are provided by volunteers who are professionals in health screenings and nutritional counseling. INFORMATION AND REFERRAL - FBS maintains a database relating to senior clients and their needs. Critical information is provided to seniors who require additional services, and referrals to collaborative agencies are coordinated by FBS staff.EMERGENCY SHELF STABLE MEALS - Emergency shelf stable meals are meals with a shelf life of one year that are delivered to seniors for use when sites are closed due to emergency weather conditions. FBS provides five emergency shelf meals to each client for use during inclement weather when the agency is unable to operate senior activity centers safely.ACTIVITY CENTER OUTCOMES: In 2024, Fort Bend Seniors provided 57,013 meals to 515 clients in Fort Bend and Waller Counties. Of the 515 senior center clients served in 2024, 65 percent lived alone or with their elderly spouse; 14 percent were veterans or surviving spouses of veterans; 82 percent represented minority populations, primarily African American and Hispanic.TRANSPORTATION - FORT BEND AND WALLER COUNTY: Fort Bend Seniors (FBS) contracts with Fort Bend County Public Transportation to provide transportation for our participants in the Congregate Program. The vehicles are air-conditioned, handicapped accessible vans. The service is door-to-door, transporting the client from their home to the nearest senior center and then returning them to their home after program activities. These rides were only available to participants from Fort Bend County centers. Waller County service is provided through Colorado Valley Transit Services at no cost to the client or to FBS.

See Schedule OTRANSPORTATION OUTCOMES: In 2024, FBS provided 19,041 rides to senior participants to and from congregate senior centers under the contract with Fort Bend County. This was a 1 percent increase in rides over the prior year. Participants who required transport for various other personal needs were also able to book on-demand transport separate from FBS.
