“Election to governing body: as provided for in the bylaws, members elect the board annually. Each member has one vote. A slate of candidates is nominated annually by the board to the membership.”

“Decisions subject to approval by members: members elect the board; all governance actions including amending the bylaws are performed by the board.”

“The draft 990 is provided in physical copy to the executive committee members at a meeting at which it is discussed. The 990 is then circulated to all board members by email with a deadline for comment or questions. The 990 is submitted only after this opportunity has been given to all board members.”

“Disclosures are reviewed by the executive committee and monitored relative to board actions for recusal.”

“The president's compensation is reviewed and approved annually by the executive committee. The president prepares a self evaluation that is given to the board chair; the board chair and the board treasurer meet to review this evaluation and prepare recommendations to the executive committee; the executive committee reviews the performance report, discusses the recommendations of the board chair and treasurer, then decides on an evaluation for the file and compensation decisions to communicate to the president. The executive committee members are themselves executives with other organizations and bring extensive experience about job descriptions, compensation levels, employee management and the employment market for a broad range of organizations. They draw on this knowledge in evaluating the president's compensation.”
