“The Executive Committee shall act for the Corporation between meetings of the Board and shall also constitute the Budget Committee of the Corporation. The Chair, Immediate Past Chair, Vice Chair(s), Treasurer, and Secretary, are mandatory members of the Executive Committee and shall serve for their term of office. The Board shall select at least six (6) non-mandatory members of the Executive Committee. The non-mandatory members of the Executive Committee shall be members of the Board of Directors, and their term of office shall be for one (1) year or until their successors are elected. The President shall be an ex officio member of the Executive Committee but shall not be entitled to vote. The Executive Committee may appoint other ex officio members of the committee as necessary. The Executive Committee shall meet semi-annually and special meetings may be called by the Chair at any time. Five (5) members of the Executive Committee shall constitute a quorum.”

“Membership is available to any Texas taxpayer, whether a person, firm, corporation, association, society, foundation or trust upon election by an affirmative vote of majority of the members of the Executive Committee and payment of the membership dues or contributions. Each member shall be entitled to one vote on each matter.”

“The Chairman appoints a nominating committee composed of five members. The nominating committee then submits a slate of proposed candidates for the board. Members of this Corporation shall have the right to vote on candidates for the Board of Directors at the annual meeting and call special meetings of the membership when a demand in writing for such meeting is made by not less than one-tenth of the total membership.”

“Any director, principal officer, or member of a committee with board delegated powers who has a direct or indirect financial interest (interested persons) are covered by the conflict of interest policy. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, the interested person shall leave the Board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Board or committee members shall decide if a conflict of interest exists. The Board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.”

The considerations of the Compensation Committee are documented in a memorandum. The considerations include the organization's performance, the performance of individual, and compensation for comparable positions in the market.”
