The executive committee is empowered to make decisions on behalf of the corporation between meetings subject to ratification by the board, if and to the extent such ratification is required by the bylaws or by law. The executive committee is composed of the chairman, vice chairman or chairmen, secretary, treasurer, and such other person or positions as the board of directors or executive committee designates from time to time.

Line 15a- process to establish compensation of top management official the organization determines compensation by using comparisons of similarly sized organizations to determine a going market rate. For leadership positions, the organization utilizes third party market surveys to benchmark compensation levels. When the board reviews the line item budget annually, they review a specific line for total employee compensation. Each year, the board discusses the year over year adjustments to pay, which are generally applied equally to all employees. The executive committee of the board reviews actual compensation expense on a monthly basis. This annual budget discussion is recorded in the board meeting minutes along with the decided upon total compensation expense. The compensation of the president & ceo is set by the compensation committee of the board of trustees after the chief human resources officer gathers comparable peer institution compensation data for the president and vice presidents and provides the data to the board's compensation/executive committee. The executive committee uses the appropriate benchmark data as part of setting the president's compensation, to ensure reasonableness. The compensation committee is comprised of selected board members disinterested with regard to the compensation arrangements. The compensation committee keeps contemporaneous documentation of the deliberations and decisions regarding the compensation arrangements. This process is completed prior to the beginning of each calendar year being approved. Each vice president's salary is recommended by the president after completing the annual performance evaluation of each vice president and the comparability data. The president submits each vice president's salary and benefit recommendation to the compensation committee of the board of trustees. The executive committee reviews the president's recommendations and comparable data for to ensure that compensation packages remain reasonable. Surveys from organization such as united way are utilized in benchmark of salaries for all officers and key employees using comparability data approximately every three years. The 2024 survey is the most recent data used for benchmarking salaries. The board of directors reviews the annual salary budget but grants individual salary approvals to the ceo.

Interfaith's policy is to provide the fullest possible access to public information. This policy shall apply to all requests received by interfaith. Interfaith has ten (10) business days to fill a request. Mutually agreed upon fees to cover the cost of copying and mailing the requested information may be charged by interfaith. Confidential information protected from disclosure by the texas public information act includes, but is not limited to the following: social security numers, bank account numbers, texas driver's license numbers, criminal history reports issued by law enforcement agencies, copies of fingerprint cards, details of intimate personal affairs in which the public has no interest, personal financial information. To request records under the texas public information act, the following requirements and guidelines apply: a)requests must be made in writing. Telephone requests are not considered open record requests. B)name, address, telephone number, e-mail address and clear description of the records requested must be included in all open records requests.

Financial Statement Notes

PART X, LINE 2:

Interfaith is exempt from federal income tax under section 501(c)(3) of the internal revenue code and is not treated as a private foundation. However, income from certain activities not directly related to interfaith's tax-exempt purpose is subject to taxation as unrelated business taxable income (ubti). Interfaith had no federal income tax expense related to ubti in 2024 and 2023. Management has evaluated interfaith's tax positions and concluded that there are no material uncertain tax positions requiring recognition or disclosure in the financial statements. Interfaith's federal returns for the years ended 2021 through 2024 remain subject to examination by the internal revenue service.
