Energeo Alliance

“EnerGeo Alliance has classes of members: Governing: Any company that satisfies the requirements of 1 and 2 below: 1. The company's primary business is one or more of the following: * Energy geoscience data acquisition contractor; * Energy geoscience data processing contractor; * Owner and supplier of multi-client energy geoscience data for license; * Energy geoscience service provider; or * Energy geoscience equipment supplier/manufacturer. 2. The company is: * Not owned by a government or a petroleum and natural gas exploration and production company (energy company); or * Owned by a government or an energy company and: - Receives at least 35% of its revenues (from energy geoscience products and services) from sources other than its owner(s) or other companies or government agencies affiliated with its owner(s), measured based on a "rolling" average for the last three 12-month periods that have been closed and reported; and - Maintains a viable, ongoing business providing energy geoscience goods and services outside its home country. Contributing: Any company that meets the Governing Member definition but declines participation as a Governing Member. Associate: Any company that: * Provides products and/or services to the energy geoscience or energy industry; or * Is an Academic Institution. Industry Partner: Non-energy geoscience companies, such as Exploration & Production (energy industry) and Alternative Energy companies, that support the mission and objectives of the Alliance. Professional Services: Any company that provides professional services to the energy geoscience or energy industry.”

“The Board of Directors is the governing body of EnerGeo Alliance. Directors are elected by vote of membership. Please see the previous item for a full description of member classes.”

“Voting members (Governing, Contributing and Associate) may vote on matters brought before the membership. Each member has one vote, and the following decisions require their approval: amendment of Articles of Incorporation, amendment of Bylaws, election of directors, approval of any member meeting minutes for adoption, and any other matter properly put to the membership as provided in the Bylaws.”

“Outside accountants review the financial statements under the supervision of the President, Treasurer, and VP of Business Operations. Form 990 is prepared by a separate outside accounting firm and is reviewed and approved by the President and VP of Business Operations. A copy is provided to the Board of Directors before filing with the IRS.”

“For the EnerGeo Alliance President, compensation decisions are supported by comparability data and are led by the Board Chairman and Vice Chairman. The Board approves as part of the annual budget approval process. EnerGeo Alliance follows a similar process to determine the compensation of other officers and key employees, but this process is led by the President. All changes in compensation of the President and key employees are approved by the Board as part of the annual budget approval process and documented in writing and archived.”

“Quarterly financial statements and governing documents are provided to the governing body and made available to the membership upon request. The Annual Review of Financial Statements is provided to all voting members' principal representative prior to the annual meeting held virtually. The Alliance does not make any of these available to the general public.”
