“The members of the board of directors sign a conflict of intereststatement annually. The statements are reviewed annually. Whenconflicts arise the affected director abstains from voting or actingupon the pertinent item.”

“The process for determining compensation of the Executive Directorincludes annual review and approval by the Executive Committee of theBoard of Directors. Executive Director Compensation is compared toExecutive Director compensation for Nonprofits in the Houston areaand to other similarly-situated AIA chapters.”

“Statement 2Form 990-T, Schedule A, Line E: Organization's Primary Unrelated Business ActivityThe Houston Chapter American Institute of Architects sells standard American Institute of Architects (AIA) contracts and practice management documents to its members and to outside parties for use in administration of architectural and construction projects. In accordance with IRS policy the chapter reports these sales as unrelated business taxable income, although it believes the policy is incorrect and would be overturned on litigation in accordance with San Antonio Bar Association v United States of America and Texas Apartment Association v United States, 860 F2D 884 (1989). These documents are provided as a service to AIA members and other architects to protect architects from frivolous and unnecessary litigation and are directly related to the organization's exempt purpose.”
