PROCESS FOR DETERMINING COMPENSATION OF OFFICERS, DIRECTORS, KEY EMPLOYEES THE BOARD OF DIRECTORS OF VALLEY BAPTIST DEVELOPED THE POLICY TO BE UTILIZED FOR DETERMINING COMPENSATION. A COMPENSATION COMMITTEE WAS FORMED FROM THE BOARD WHO OVERSEES THIS PROCESS. VALLEY BAPTIST UTILIZES AN INDEPENDENT COMPENSATION CONSULTING FIRM WHICH APPROVES THE PAY RANGES PROPOSED BASED ON PUBLISHED SURVEY DATA. WRITTEN EMPLOYMENT CONTRACTS ARE EXECUTED WITH THE CEO ONLY. In 2013, a compensation committee was formed and an independent consultant was hired to perform a compensation study using comparability data.
