Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Executive Committee shall consist of the Officers of the Board of Directors, the Chair of any standing committee of the Board, the President of the Alumni Board, and the President. At least one member of the Executive Committee other than the President must be a member of the Basilian Fathers. During intervals between meetings of the full Board of Directors, the Executive Committee shall possess and may exercise all the powers and authority of the Board except those requiring an affirmative vote of two-thirds of those present and voting at a Board meeting. If the Executive Committee shall have occasion to act, it shall report its action for ratification at the first meeting of the Board after such action has been taken.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The form 990 was reviewed by the university's audit and finance committee prior to its filing with the irs. As there were donors who wished to remain anonymous, schedule b was not provided to the committee nor the board, but the full copy of the form 990 including schedule b was reviewed in detail by the audit and finance committee chair. After taking into account any comments or recommendations of the audit and finance committee, the form 990 is finalized and provided to each member of the board of directors prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Annual affirmations that conflicts do not exist are required to be made for board members and officers. If any conflicts are noted, they must be sufficiently explained. Board members recuse themselves from voting or participating in discussions regarding topics with which they may be in conflict. Records of the annual affirmations are maintained by the office of the president.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

In March 2021, a third party consultant specializing in executive compensation, Yaffee & Company, was engaged to conduct a comprehensive review of the University President's compensation based on information as of December 31, 2020. Market information was utilized to analyze the comparability and market competitiveness of the President's compensation. In addition, the University's HR department conducted a salary review using data available through the College and University Personnel Association (CUPA). The information was provided to the Chair and Vice Chair of the Board. There was a salary change enacted based on this analysis for the president and his direct reports.

THE BOARD OF DIRECTORS APPROVES THE HIRING OF VICE PRESIDENTS BASED ON A RECOMMENDATION FROM THE PRESIDENT. HOWEVER, THE PRESIDENT HAS THE DISCRETION TO SET THE INITIAL SALARY AND TO AWARD INCREASES BASED ON THE EXPERIENCE OF THE INDIVIDUAL, MARKET CONDITIONS, AND INDUSTRY STANDARDS. THE COMPENSATION LEVEL OF EACH VICE PRESIDENT'S POSITION IS EVALUATED EACH YEAR BY THE HEAD OF HUMAN RESOURCES WITH A MORE FORMAL EVALUATION, UTILIZING A THIRD-PARTY SPECIALIZING IN EXECUTIVE COMPENSATION, COMPLETED AS DEEMED NECESSARY. THE RESULTS ARE PROVIDED TO THE PRESIDENT FOR HIS REVIEW. This process was last undertaken in March 2021. The university uses CUPA (College and University Personnel Association) for compensation data as primary source of market and industry salary information.

Schedule D, Part VII LINE 3 - ALTERNATIVE INVESTMENTS

The University invests its assets through an outsourced chief investment officer (OCIO) model. The OCIO managing the majority of the University investments is The Investment Fund for Foundation (TIFF). The University owns interests in two different products structured as a partnership fund which invests with a wide variety of investment products and vehicles. Since the University does not own a direct interest in the underlying investments themselves but gains exposure through the ownership interest in the overarching fund, the investments are classified as alternative investments although the actual underlying exposure is much more typical of a common university endowment portfolio. The assets comprising the alternative investments reported are investments in TIFF's Multi-Asset Fund ("MAF"), TIFF's The Keystone Fund ("TKF"), and certain legacy private equity investments managed by Hirtle Callaghan. The MAF has daily liquidity, and is comprised of underlying investments in funds focused on equity, debt, and commodity securities employing a variety of strategies. Asset types for the MAF include global equities, high yield bonds, resource-related equity, real estate investment trusts hedge funds, asset-backed securities, commodity futures, opportunistic credit assets, conventional bonds, treasury inflation-protected securities, and cash. TKF, has quarterly liquidity with 180 days' notice, and similar to the MAF, TKF invests in the same types of investments as the MAF with the addition of private equity investments. The University's exposure to private investments when taking into account the underlying assets of the multi-asset fund and the Keystone fund was approximately $38.2 million and $25.5 million as of June 30, 2021 and 2020, respectively. This equates to 26.3 percent and 23.1 percent of the total balances for June 30, 2021 and 2020, respectively. Additionally, total exposure to alternative investments was $60 million and $40.8 million making up 41.3 percent and 38 percent of the investment balances as of June 30, 2021 and 2020, respectively.

The University and UST Realty Company have received determination letters from the Internal Revenue Service of exemption from federal income tax under Section 501(c)(3) of the Internal Revenue Code (IRC), and accordingly, no provision has been made for such taxes. Accounting standards generally accepted in the United States of America require that the University recognize the financial effects of a tax position in its consolidated financial statements, if that tax position is more likely than not of being sustained upon examination, including resolution of any appeals or litigation processes, based upon the technical merits of the tax position. Tax positions taken related to the University's tax-exempt status, the taxable income of unrelated business activities, and the deductibility of expenses and other miscellaneous tax positions have been reviewed, and management is of the opinion that material positions taken by the University would more likely than not be sustained upon examination by taxing authorities. Accordingly, the University has not recorded an income tax liability for uncertain tax benefits.
