“On september 24, 2013 the organization made the following significant changes to their bylaws: 1) changing the number of elected board members from 60 to 40 2) addition of article 6; contracts, checks, deposits and funds 3) addition of article 7; actions without meetings 4) addition of article 8; miscellaneous.”

“A copy of the form 990 was e-mailed to the finance committee and the board of directors for their review before it was filed with the internal revenue service.”

“Each new responsible person shall be required to review a copy of the conflict of interest policy and to acknowledge in writing that he or she has done so. Each responsible person shall annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include service as a director of or consultant to a nonprofit organization, or employment by or ownership of a business that might provide goods or services to the san antonio symphony. Any such information regarding business interests of a responsible person or a family member shall be treated as confidential and shall generally be made available only to the chair, the president/ceo, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of this policy. This policy shall be reviewed annually by each member of the board of directors. Any changes to the policy shall be communicated immediately to all responsible persons.”

“The league of american orchestras conducts an annual salary survey or orchestras to develop compensation information. The san antonio symphony participates in the annual survey. Werling associations, inc. Conducts an annual san antonio not-for-profit wage and benefit survey. The san antonio symphony participates in the annual werling salary survey.”

“The organization makes its governing documents and financial statements available to the public upon request.”

“The organization has an audit committee and finance committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant.”
