Form 990, Part VI, Line 1A Delegate broad authority to A committee

The executive committee shall be composed of the chairman, the vice chairman, the secretary, the treasurer and such other members of the board as the chairman may designate. The executive committee shall have the authority to take any action which the board is authorized to take except for certain educational and mission, financial, and governance matters. The following powers are explicitly reserved for the vote of the entire board: the university's mission and tax-exempt purposes, approval of new or discontinuing educational programs, and approve and authorize all earned and honorary degrees upon the faculty's recommendation; the approval of the university capital and operating budgets, tuition changes, debt, purchases and sales of real property, construction and renovation projects, spending policy guidelines, and gift acceptance by university officers or other agents; the election of trustees, board members or university officers, appoint the president, the amendment of the charter of the university or the bylaws; or the establishment or amendment of any board or university policy.

The 990 and supplemental schedules are prepared by a public accounting firm in collaboration with the organization's senior tax accountant. The draft return is reviewed by the V.P. Of Finance & Admin. and will BE SUBMITTED TO THE AUDIT COMMITTEE OF THE BOARD OF TRUSTEES FOR REVIEW AND ACCEPTANCE. THE FORM 990 WILL THEN BE MADE ELECTRONICALLY AVAILABLE TO THE FULL BOARD OF TRUSTEES PRIOR TO FILING WITH THE IRS.

A CONFLICT OF INTEREST QUESTIONNAIRE IS DISTRIBUTED TO ALL BOARD OF TRUSTEE MEMBERS, officers and key employees ANNUALLY. THE PRESIDENT'S OFFICE MONITORS ENFORCEMENT OF THE POLICY AND REPORTS ON THE STATUS TO THE AUDIT COMMITTEE, BOARD, AND EXTERNAL AUDITORS. In the event of a potential conflict of interest, the potentially conflicted individual recuses themselves from the discussions and decision process of the transaction identified as a potential conflict of interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The compensation of the president is set by the compensation committee of the board of trustees after the chief human resources officer gathers comparable peer institution compensation data for the president and vice presidents and provides the data to the board's compensation/executive committee. The executive committee uses the appropriate benchmark data as part of setting the president's compensation, to ensure reasonableness. The compensation committee is comprised of selected board members disinterested with regard to the compensation arrangements. The compensation committee keeps contemporaneous documentation of the deliberations and decisions regarding the compensation arrangements. This process is completed prior to the beginning of each contract period being approved.

Each vice president's salary is recommended by the president after completing the annual performance evaluation of each vice president and the comparability data. The president submits each vice president's salary and benefit recommendation to the compensation committee of the board of trustees. The executive committee reviews the president's recommendations and comparable data to ensure that compensation packages remain reasonable. All other salaries and wages are recommended by the division vice presidents and approved by the president. Positions other than the president and vice presidents are controlled by a salary increase procedure. The salary increase rate is approved by the board during the annual budget process.

The majority of the university's art collection is on public display on the grounds and in various buildings on campus. The rare books collection is maintained in the rare book room of the coates library and materials are available for scholarly research.

Schedule D, Part V, Line 4 Intended uses of endowment funds

The University's endowment consists of numerous individual funds established to support the university in perpetuity. Annual spending is governed by a board-approved policy designed to support the general operating budget and mission of the University. Funds are used for the following: scholarships and institutional loans, library resources, faculty compensation, faculty development, facility maintenance, lectures, and general operating needs.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The University is exempt from federal income tax under Section 501(a) as an organization described in Section 501(c)(3) of the Internal Revenue Code (the Code). This exemption does not apply to unrelated business income, as defined by Section 512(a)(1) of the Code, which is subject to federal income tax. The University had no material tax liability resulting from such unrelated business income in 2025 or 2024. The University is subject to an excise tax of 1.4% on the University's net investment income. The excise tax is recognized as a reduction of the University's investment returns, but has no material impact on the consolidated financial statements. U.S. GAAP requires management to evaluate uncertain tax positions taken by the University. The financial statement effects of a tax position are recognized when the position is more likely than not, based on the technical merits, to be sustained upon examination by the Internal Revenue Service or the U.S. Department of the Treasury. Management has analyzed the tax positions taken by the University and has concluded that as of May 31, 2025, there are no uncertain positions taken or expected to be taken. The University has recognized no interest or penalties related to uncertain tax positions. The University is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes the University is no longer subject to income tax examinations for years prior to May 31, 2022.

IRS990/Desc0Trinity University, one of the nation's top private undergraduate institutions, is known for its superior academic quality, personalized attention with outstanding faculty, exceptional resources, real-world preparation, and vibrant campus life. Trinity is a community that encourages students to discover, grow, and become passionate, productive individuals. The University's principal focus is on undergraduate education, but it also offers selected graduate programs in professional fields. In addition, the University provides various research and other sponsored projects as well as public service programs of continuing education, intellectual enlightenment, and cultural enrichment. The University attracts talented and highly motivated students to its predominantly full-time, residential student body. Enrollment was 2,595 annual students for FY25 which represents the full-time equivalent of undergraduate and graduate students; 4.8% of these students come from outside the United States and 78% are from within Texas. The University received 12,506 first-year undergraduate applications for fall 2025 with an acceptance rate of 26%. The University's yield was 20%, generating enrollment of 650 first-year students. Student charges (net tuition, fees, room and board) were $88 million. Total scholarships and grants were $82.6 million. The source of funding for these scholarships includes operating funds, endowment funds and external grants and contribution revenue. Scholarship and student aid expenses continue to grow, reflecting the University's commitment to providing access to a broad spectrum of students and increased market competition in recent years. Although student tuition continues to increase, net student revenues are growing at a significantly slower pace in recent years due to the increased number of students receiving financial aid and the increase in the average aid package per student. Trinity University completed another strong year in pursuit of its mission to educate and mold the leaders of the future in a residential liberal arts environment. The University is well positioned to complete its robust strategic vision of defining the liberal arts experience for the 21st century.
