Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The executive committee shall be composed of the chairman, the vice chairman, the secretary, the treasurer and such other members of the board as the chairman may designate. The Executive Committee shall have the authority to take any action which the board is authorized to take except: the election of trustees; the election of board or university officers; the approval of the University budget; the amendment of the charter of the University or the bylaws; or the establishment or amendment of any board or University policy.

Form 990, Part VI, Line 2 Family/business relationships amongst interested persons

JOHN KORBELL AND WALTER BROWN, JR. - Family relationship

Form 990, Part VI, Line 11B Review of form 990 by governing body

The 990 and supplemental schedules are prepared by a public accounting firm in collaboration with the organization's senior tax accountant. The draft return is reviewed by the V.P. Of Finance & Admin. and will BE SUBMITTED TO THE AUDIT SUBCOMMITTEE OF THE BOARD OF TRUSTEES FOR REVIEW AND ACCEPTANCE. THE FORM 990 WILL THEN BE MADE ELECTRONICALLY AVAILABLE TO THE FULL BOARD OF TRUSTEES PRIOR TO FILING WITH THE IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

A CONFLICT OF INTEREST QUESTIONNAIRE IS DISTRIBUTED TO ALL BOARD OF TRUSTEE MEMBERS, officers and key employees ANNUALLY. THE PRESIDENT'S OFFICE MONITORS ENFORCEMENT OF THE POLICY AND REPORTS ON THE STATUS TO THE AUDIT SUBCOMMITTEE, BOARD, AND EXTERNAL AUDITORS. In the event of a potential conflict of interest, the potentially conflicted individual recuses themselves from the discussions and decision process of the transaction identified as a potential conflict of interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The compensation of the president is set by the compensation committee of the board of trustees after the associate vice president of human resources gathers peer institution compensation data for the president and vice presidents and provides the data to the board's compensation/executive committee. Each vice president's salary is recommended by the president after completing the annual performance evaluation of each vice president. The president submits each vice president's salary and benefit recommendation to the compensation committee of the board of trustees. The compensation committee is comprised of selected board members without conflict of interest with regard to the compensation arrangements. The compensation committee keeps contemporaneous documentation of the deliberations and decisions regarding the compensation arrangements. This process was last conducted in may 2018.

Form 990, Part VI, Line 15B Process to establish compensation of other employees

All salaries and wages are recommended by the division vice presidents and approved by the president. Positions other than the president and vice presidents are controlled by a salary increase procedure. The salary increase rate is approved by the board during the annual budget process.

Form 990, Part VI, Line 19 Required documents available to the public

The university's audited financial statement and form 990 are available on the university's website and are available in hard copy upon request.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The University is exempt from federal income tax under Section 501(a) as an organization described in Section 501(c)(3) of the Internal Revenue Code (the Code). This exemption does not apply to unrelated business income, as defined by Section 512(a)(1) of the Code, which is subject to federal income tax. The University had no material tax liability resulting from such unrelated business income in 2018 or 2017. U.S. GAAP requires management to evaluate uncertain tax positions taken by the University. The financial statement effects of a tax position are recognized when the position is more likely than not, based on the technical merits, to be sustained upon examination by the Internal Revenue Service or the U.S. Department of the Treasury. Management has analyzed the tax positions taken by the University and has concluded that as of May 31, 2018, there are no uncertain positions taken or expected to be taken. The University has recognized no interest or penalties related to uncertain tax positions. The University is subiect to routine audits by taxing iurisdiction.s; however, there are currently no audits for any tax periods in progress. Management believes the University is no longer subject to income tax examinations for years prior to May 31, 2015.

IRS990/Desc0Trinity University, one of the nation's top private undergraduate institutions, is known for its superior academic quality, personalized attention with outstanding faculty, exceptional resources, real-world preparation, and vibrant campus life. Trinity is a community that encourages students to discover, grow, and become passionate, productive individuals. The University completed its 149th academic year on May 31, 2018 and celebrated 75 years of being in San Antonio in September 2017. The University's principal focus is on undergraduate education, but it also offers selected graduate programs in professional fields. In addition, the University provides various research and other sponsored projects as well as public service programs of continuing education, intellectual enlightenment, and cultural enrichment. The University attracts talented and highly motivated students to its predominantly full-time, residential student body. Enrollment was 2,464 annual students for FY18 which represents the full-time equivalent of undergraduate and graduate students; 6% of these students come from outside the United States and 73% are from within Texas. The University received 7,663 first-year undergraduate applications for fall 2017 with an acceptance rate of 38%. The University's yield was 22%, generating enrollment of 642 first-year students. The number of applications grew by 5.6% from the prior year to set a new all-time high record. Underrepresented students comprised 40.4% of the class, including 5% foreign students. Net tuition revenues grew 8.0% from the prior year. Student charges (net tuition, fees, room and board) were $47.6 million, an increase of $3.5 million over the prior year. Total scholarships and grants were $58.1 million. The source of funding for these scholarships includes operating funds, endowment funds and external grants and contribution revenue. Scholarships continue to be one of the fastest growing line items in the Consolidated Statement of Activities, reflecting the University's commitment to providing access to a broad spectrum of students and increased market competition in recent years. Although student tuition continues to increase, net student revenues are growing at a significantly slower pace in recent years due to the increased number of students receiving financial aid and the increase in the average aid package per student. Trinity University completed another strong year in pursuit of its mission to educate and mold the leaders of the future in a residential liberal arts environment. The University is well positioned to complete its robust strategic vision of defining the liberal arts experience for the 21st century.
