Governance Explanations

Organizational document changes Part VI line 4

The wacoc made the following changes to the bylaws:the composition of the board was changed. It went from 15 board members required to now allowing a minimum of 11 board members and a maximum of 15 board members.board meetings were changed from the entire board meeting every month to the executive board meets monthly and the entire board meets every other month.the bylaws now allow the exectutive committee to act for and on behalf of the entire board but shall be accountable to report their actions to the entire board of directors.

Members or stockholder classes and rights Part VI line 6

Membership in the weslaco area chamber of commerce is based on the level of participation. All members receive a free listing on the chambers web page, opportunities to participate in seminars and workshops, networking opportunities through mixers and meetings, referrals from the chamber to members, an area to display their promotional materials, options to participate in advertising in various publications put out by the chamber, and opportunities to announce special events through the monthly chamber page.

Member election for additional members Part VI line 7A

The board approves the slate of new members for the board. The general membership has the right to nominate additional members for the board by getting ten (10) general members to sign a nomination for that member. If no additional board members are nominated then the slate is automatically elected. If there are additional nominations then the general membership votes on the slate of directors.

Governing body decisions Part VI line 7B

The board is comprised of between eleven and fifteen board members. A nominating committee made up of current board members reccomends to the board enough members to fill any vacancies. The general membership then has the opportunity to add any additional names to that slate. Then the general membership votes on the slate of members they want added to the board of directors.

Form 990 governing body review Part VI line 11

The 990 is reviewed by the chief executive officer. After that review the 990 is sent to the board members for review. All comments from ceo or board members are checked for accuracy and when everybody agrees to the accuracy of the return, then the return is filed.

Conflict of interest policy compliance Part VI line 12C

The chamber board of directors has a conflict of interest policy that is reviewed by the president/ceo. The agreement states that disciplinary action for violating the conflict of interest policy may include removal from the board.

CEO executive director top management comp Part VI line 15A

The board appoints a committee to hire the executive officer and review the compensation for the executive officer. The committee reports back to the board and the board votes on hiring and paying the executive officer. The compensation of all other employees are set by the executive officer with approval of budget by the board.

THE PAGEANT SUPPORTS PERSONAL GROWTH AND LEADERSHIP DEVELOPMENT OF OUR YOUTH. WE HOST A BACK TO SCHOOL EVENT THAT SERVES OVER 300 MID VALLEY EDUCATORS AND LEMONADE DAY, A NATIONAL PROGRAM FOR YOUNG BUSINESS ENTREPRENEURS.

THIS YEAR, THE WESLACO VISITORS CENTER HAD 13,000 VISITORS COME IN FOR INFORMATION , EVENTS, OR SPECIAL PRESENTATIONS. IN THIS FISCAL YEAR, WE HAD OVER 50,000 PARTICIPANTS IN OUR COMMUNITY EVENTS SUCH AS THE ANNUAL CHRISTMAS PARADE, THE TEXAS ONION FESTIVAL, SABOR WESLACO AND A MONTE CARLO LEADERSHIP FUNDRAISER.WE REACH OVER 2,180 OUT OF STATEW VISITORS IN ORDER TO HELP THEM RELOCATE TO WESLACO DURING THE WINTER TEXAS SEASON. WE MARKET TO THE BIRDING COMMUNITY TO ENCOURGAGE THEM TO VISIT AND STAY IN WESLACO AND VISIT OUR 3 NATURE PARKS. OUR BORDER COMMUNITY MARKETING EFFORTS TO PROMOTE WESLACO IN MEXICO REACHES OVER 300,000 IN BROADCAST MEDIA AND DIGITAL MEDIA, AND 500,000 IN PUBLICATIONS. WE HAVE 2 BILLBOARDS THAT APPROXIMATELY 2,000,000 PEOPLE VIEW.
