Governance Explanations

Form 990, Page 6, Part VI, Line 6

Neca membership is only available to a firm or corporation engaged in the business of electrical contracting, defined as the business of erecting, installing, repairing, servicing or maintaining electric wiring, devices or equipment. This means neca members are the electrical contracting companies. Employees at neca member contractors are eligible for all member benefits after they are added to their company's membership record by the company's neca-affiliated representative. Neca's members are primarily signatory contractors who hire union (ibew) electricians. Non-union firms may be approved for membership, depending on the policy of their local chapter.

Form 990, Page 6, Part VI, Line 7A

The board of directors shall have authority to act in all matters, subject to such instructions as may be given by resolution or motion passed by a two-thirds vote of the members present at any meeting of the chapter. The annual election of members of the board of directors shall be held prior to the first meeting each calendar year. Any regular member in good standing may be nominated for membership on the board of directors. Nominations shall be made from the floor and the election shall be by secret ballot. Each member in good standing shall have the following number of votes: 1) one vote from one to 75,000 manhours; 2) one additional vote for any manhours in excess of 75,000 up to and including 150,000 manhours; 3) one additional vote for any manhours in excess of 150,000 manhours. Members of the board of directions shall serve for a period of two years, or until their successors are elected. They shall serve without remuneration and shall be eligible for re-election.

The direction and administration of the affairs and funds of the chapter are vested in the board of directors, as elected by the members. The board of directors meets on a quarterly basis to discuss the welfare of the chapter and has the authority to act on all matters, through board resolutions or motions, passed by a two-thirds majority vote of the members present.

The board of directors meets to review a draft of the form 990. Any revisions are discussed and corrected by the tax preparer. The final form is then received by the executive manager who is responsible for verifying the changes,signing the form and filing the form in a timely manner.

Form 990, Page 6, Part VI, Line 12C

Each of the directors shall have the continuing, affirmative duty to report any personal ownership, interest, or other relationship that might affect such person's ability to exercise impartial, ethical, and business-based judgements in fulfilling responsibilities to the chapter. Directors are required to complete annually (or as otherwise scheduled by the board) a disclosure form regarding any conflict of interest. The disclosure statement shall be in such form as may be prescribed by the board and may include information regarding a person's particiation as a director, officer, committee member, or employee of any other nonprofit organization (whether or not such organization is a conflict person). The board shall be responsible for oversight of all disclosures or failures to disclose, and for taking appropriate action in the case of any conflict of interest transaction.
