“Under the By-Laws the organization is to be governed by an annual Convention, consisting of several present and past officers and delegates elected by Posts. However, the By-Laws provide that the Council of Administration is responsible for administering the affairs and transacting business.”

“Under the By-Laws of the Veterans of Foreign Wars of the United States, the supreme power of the organization is lodged in the State Convention, consisting of the State Officers, Council of Administration, designated officers of State Department, members and delegates elected by Posts. However, the By-Laws provide that the Council of Administration is responsible for administering the affairs and transacting business between Conventions. The Council is, essentially, the organizations governing body, subject to the annual convention.”

“Because of timing issues, it is not possible for the Council of Administration to meet to review the 990 prior to filing. However, the 990 is provided to each member of the Council prior to filing and they are invited to share their comments, questions and concerns, as well as any objections, to the 990 with the Council. The 990, along with theReviewed Financials, are reviewed with the Budget and Finance Committee and the Council at a later, stated meeting.”
