Governance Explanations

Form 990, Part VI, Section A, Line 6

Those individuals, firms, corporations, or companies engaged in manufacturing, processing, fabricating, constructions, production of raw materials, natural resources, fuel or power, or public utilities, as well as those engaged in allied supporting industries, corporations or companies shall be eligible for membership.

Form 990, Part VI, Section A, Line 7A

Any member in good standing, or any individual who is the designated representative of a member company in good standing, shall be eligible to nomination and election to any office of the association provided that such individual shall have served at least one year as a member of the board of directors at any time prior to an elective term of office. Each elected officer shall take office at the beginning of the fiscal year and shall serve in that capacity for a term of one year. Each elected officer shall serve concurrently as a member of the board of directors. The chair-elect shall automatically fill the office of chairperson of the board upon commencement of the succeeding term.

Board members will review and sign the conflict of interest policy annually. If any issues arise the board member will not vote on the action.

Form 990, Part VI, Section B, Line 15A

In accordance with the sama by-laws, an annual review must be conducted of the sama president at the end of each calendar year. In addition, a compensation package must be established that is effective on january 1st of the new year. If bonuses are approved by the executive committee for the sama staff, they will be set at 75% of the net income up to a maximum of $6,000. The bonuses would be based on the financial profit or loss of the organization as of november 1st. The total bonus package set by the executive committee will be divided at a ratio of 66% to the sama president and 34% to the sama staff. If the sama president determines a staff member deserves more than 34% of the bonus money, it may be increased, but the total bonus package amount cannot be exceeded. If the sama president determines the sama staff members performance does not warrant the full amount or a lesser amount, he will so inform the sama chairman of his decision.

IF BONUSES ARE APPROVED BY THE EXECUTIVE COMMITTEE FOR THE SAMA STAFF, THEY WILL BE SET AT 75% OF THE NET INCOME UP TO A MAXIMUM OF $6,000. THE BONUSES WOULD BE BASED ON THE FINANCIAL PROFIT OR LOSS OF THE ORGANIZATION AS OF NOVEMBER 1ST. THE TOTAL BONUS PACKAGE SET BY THE EXECUTIVE COMMITTEE WILL BE DIVIDED AT A RATIO OF 66% TO THE SAMA PRESIDENT AND 34% TO THE SAMA STAFF. IF THE SAMA PRESIDENT DETERMINES A STAFF MEMBER DESERVES MORE THAN 34% OF THE BONUS MONEY, IT MAY BE INCREASED, BUT THE TOTAL BONUS PACKAGE AMOUNT CANNOT BE EXCEEDED. IF THE SAMA PRESIDENT DETERMINES THE SAMA STAFF MEMBERS PERFORMANCE DOES NOT WARRANT THE FULL AMOUNT OR A LESSER AMOUNT, HE WILL SO INFORM THE SAMA CHAIRMAN OF HIS DECISION.
