“On or before may 10th each year, members are notified of the annual election of directors and the opportunity to seek election for a position for which they are eligible, all in accordance with the texas non profit corporation act. The board of directors is comprised of certain members in such numbers from the various director position categories as follows: largest firm - 2 large firm - 2 medium firm - 2 small firm - 2 geographic district - 5 commercial - 2 appointment - 2 executive committee - 6 the executive committee is comprised of six officers, chair, chair-elect, 2 vice chair and secretary/treasurer who are elected from within the board of directors and the immediate past chair. With the exception of the appointed directors, who serve 1-year terms, all others are elected by the general membership.”

“Houston association of realtors uses a private intranet site as an online board of directors room to distribute information to board members. The form 990 was posted to the online board of directors meeting room and will be reviewed by the executive committee at its december meeting. The controller and executive vice president of houston association of realtors initially review the 990. Upon the resolution of any questions raised by these two individuals and any changes that result from this review, the completed document is then distributed to the principal officer for final review. A copy of the 990 is made available to the board via the online board of directors meeting room intranet site. The form 990 will be reviewed by the executive committee at their december meeting.”

“The conflict of interest policy is distributed to all directors annually. They are asked to acknowledge receipt by returning a signed acknowledgement. When discussion occurs and/or votes are taken in board meetings and a member indicates a conflict of interest, such conflicts are noted in the minutes for the meeting and the member abstains from any vote taken.”

“The associations bylaws, which are approved by the board of directors and the general membership has delegated to the executive committee responsibility for determining annually the compensation of the chief executive officer and other key employees is equitable and reasonable. The board engages a compensation consultant annually to work with the committee in the compensation evaluation, as well as annual industry and local compensation surveys and other 990's filed by comparable organizations. Based on its evaluation, the executive committee makes recommendation for total compensation, including incentive compensation and benefits for all employees which are included in the annual budget. The board approves the annual budget based on this recommendation and the organization's current financial situation.”
