Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's bylaws were amended on 1/13/2020 to add two new groups of membership: international and industry partners. A new emeritus sub-committee was also established with representation on the board of directors. In addition, the conflict of interest policy was augmented to require members of the board who become aware of circumstances that pose an actual or potential conflict of interest to recuse themselves from the decision-making process and take no part in the discussion or the vote in question.

Form 990, Part VI, Section A, Line 6

The organization's members are representatives from their respective industries.

Form 990, Part VI, Section A, Line 7A

Members may elect members of the governing body.

Form 990, Part VI, Section A, Line 7B

Decisions of the governing body are subject to approval by members of the organization.

Form 990, Part VI, Section A, Line 8B

There are no standing committees authorized to act on behalf of the board of directors in the bylaws.

Form 990, Part VI, Section B, Line 11B

The return is reviewed by the treasurer before filing.

Form 990, Part VI, Section B, Line 15

Recommendations for officer's compensation is made by a sub-committee consisting of board members using an independent consultant. The president presents the board with a budgeted salary pool (based on several wage indexes and suggested merit increases) for approval. The salary pool is then dispensed at the president's discretion. Approval of the new salaries is given to the hr director for implementation. Officers' compensation was last reviewed in 2019.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents and financials statements available to the public upon request.
