“The significant changes to the governing documents are as follows:1) Article IV, section 4. A quorum shall consist of one third of the Board present in person or electronically. All matters, except amendments to the By-Laws, presented to the Board requiring such action shall be determined by a majority of the Directors present at such a meeting.2) Article V, section 1. The Board shall consist ofno fewer than nine (9) nor more than thirty (30) elected Directors, and up to 2 additional members appointed by the President with the exact number to be fixed from time to time by resolution of the Board. The Immediate Past President ofTSHA shall serve as an additional member of the Board for one (I) year immediately following the expiration of his/her term of office as President.3) Article VI, section 1. There shall be an Executive Committee composed of the five (5) Officers and up to four (4) Members-at-Large.4) Article VII, section 3, subsection B. The Personnel Committee shall formulate personnel policies for all personnel of TSHA and advise the Board on all matters pertaining to Personnel Policy. At the discretion of the Board or Executive Committee, the Personnel Committee shall screen prospective candidates for the position of Executive Director and shall make recommendations to the Executive Committee concerning the employment and/or tennination of the Executive Director. The Personnel Committee will conduct the annual review of the Executive Director and will make recommendations to the Executive Committee on any action needed, including perfonnance and/or salary. The Personnel Committee shall review at least annually, the Personnel Policies with the Executive Director and any staffmernber(s) and shall submit its recommendations to the Executive Committee for its consideration. The Personnel Committee shall also review at least annually, these By-Laws and shall submit its recommendations to the Board for consideration. The Personnel Committee may consult with the Executive Director on other issues involving personnel.5)”

“Membership levels are based upon financial amount given. Any person interested in the mission of the organization may become a member upon payment of annual dues. Friend ($25+), Supporter ($50+), Sponsor ($250+), Benefactor ($500+), and Champion ($1,000+).”

“The return is first reviewed by the executive director, treasurer, and accounting director. After completed it is presented to the executive committee and finance committee. A copy is available for all board members upon request.”
