Governance Explanations

PART VI, QUESTION 7A

The sole member of the corporation shall be qualified to vote or furnish any necessary consent, approval, or ratification or take other action on any issue that may properly be presented to the member. Among other things, selection, election, appointment, and removal of members of the board of directors must be submitted to, and receive the approval of, the sole member.

PART VI, QUESTION 7B

The following matters must be submitted to, and receive approval of, the national reining horse association (sole member): 1. Amendment or restatement of the certificate of incorporation or the bylaws; and 2. Merger or consolidation of the corporation with or into any other entity, enterprise, agency, or body; sale of all or substantially all of the assets of the corporation; acquisition of the corporation by any other entity or enterprise; or converting the corporation into any other form of entity. 3. Selection of independent auditors of the corporation; 4. The dissolution, liquidation, or termination of the business of the corporation;5. Any changes in the purpose of the corporation; 6. Any decision to file a voluntary petition under any law involving the adjudication of the corporation as bankrupt or insolvent or taking any action with respect to the reorganization of the corporation.

PART VI, QUESTION 11B

The foundation engages a paid preparer experienced in the preparation of form 990 to prepare the return. A copy of the form 990 is emailed to all board members for their review before it is filed.

PART VI, QUESTION 12C

The conflicts of interest policy is reviewed at the first board of directors meeting each year. At that time, each director has the opportunity to disclose any potential conflict to management. Directors are also reminded to disclose any conflicts that arise during the year during regularly scheduled board meetings.

PART VI, QUESTIONS 15A AND 15B

The reining horse foundation does not have any compensated directors, officers, or key employees. As such, no review or approval of the compensation determination process has been required.

PART VI, QUESTION 1A

The executive committee shall consist of up to five officers of the corporation. The executive committee may meet at stated times or on notice to all of its members. During intervals between meetings of the board of directors, the executive committee may generally perform the duties and exercise the authority of the board of directors, except that the executive committee may not (a) adopt, amend, or repeal any provision of the certificate of incorporation or bylaws (b) fill board vacancies, (c) change membership of, or fill vacancies in, the executive committee, (d) amend or repeal any resolution of the board which by its terms may not be so amended or repealed. The executive committee shall report on its actions at the next meeting of the board of directors.

Financial Statement Notes

Schedule D, Part X, Line 2

The rhf is a not-for-profit corporation described in section 501(c)(3) of the code and is exempt from federal and state income taxes on related income pursuant to section 501(a) of the code. Income generated from activities unrelated to rhf's exempt purpose is subject to federal and state income taxes. The rhf is included in one consolidated financial statement with the nrha, which is a not-for-profit corporation described in section 501(c)(5) of the code. The consolidated group (the group) follows accounting standards codification (asc) 740, income taxes, to disclose possible uncertain tax positions. The group evaluates any uncertain tax position using the provisions of asc 450, contingencies. The group does not believe that it has engaged in any activity that would result in an uncertain tax position. As a result, management does not believe that any uncertain tax positions currently exist and no loss contingency has been recognized in the accompanying financial statements. Federal and state income tax statutes require that the tax returns filed in any of the previous three reporting periods remain open to examination. This would include returns filed for the years ended june 30, 2017 through june 30, 2020. Currently, the group has no open examination with either the internal revenue service or state taxing authorities.

SCHOLARSHIPS ARE AWARDED BASED ON FINANCIAL NEED, ACADEMIC ACHIEVEMENT, CAREER PATHS, NRHA INVOLVEMENT AND REFERENCES. IN FISCAL YEAR 2020, $13,000 IN ACADEMIC SCHOLARSHIPS WERE AWARDED BY THE FOUNDATION. INDIVIDUALS WHO ARE AWARDED SCHOLARSHIPS ARE ELIGIBLE TO CLAIM THEIR SCHOLARSHIP AS THEY ENTER COLLEGE OR TECHNICAL SCHOOL. IN FISCAL YEAR 2020, THE FOUNDATION PAID OUT $37,886 IN SCHOLARSHIPS.

NRHYA HAS INITIATED A YOUTH LEADERSHIP AND EDUCATIONAL PROGRAM TITLED THE VARSITY REINING CLUB (VRC) THAT IS SUPPORTED BY THE FOUNDATION AND IS OPEN TO ALL YOUTH MEMBERS OF THE ASSOCIATION. VRC WAS ESTABLISHED TO ENGAGE YOUTH MEMBERS AND ENCOURAGE THEM TO BECOME MORE ACTIVE AT BOTH THE LOCAL AND NATIONAL LEVELS. THE PROGRAM OFFERS NRHYA MEMBERS OPPORTUNITIES TO CONTRIBUTE TO THE YOUTH ASSOCIATION, IN ADDITION TO DEVELOPING VALUABLE LIFE SKILLS THAT WILL ALLOW THEM TO BE SUCCESSFUL CONTRIBUTING MEMBERS OF SOCIETY. IN ADDITION TO THE YOUTH MEMBERS INTERACTING WITH ONE ANOTHER AND PARTICIPATING IN THE PROGRAM, THE FOUNDATION WANTS TO PROVIDE LIFE SKILLS THAT WILL HELP THEM GROW AND MATURE. STRESSING THE IMPORTANCE OF COMMUNITY SERVICE, BEING AN ACTIVE MEMBER IN A GROUP AND LEARNING TO WORK WITH OTHERS, PUBLIC SPEAKING, WRITTEN COMMUNICATION SKILLS, AND CREATIVITY ARE ALL IMPORTANT SKILLS THAT CAN BE FURTHER DEVELOPED BY PARTICIPATING IN THIS PROGRAM. NRHYA MEMBERS ARE AWARDED POINTS FOR PARTICIPATING IN THE FOLLOWING LEADERSHIP AND EDUCATIONAL TYPE ACTIVITIES OF THE VARSITY REINING CLUB: COMMUNITY SERVICE, VOLUNTEERING AND ASSISTING AT APPROVED NRHA EVENTS, ASSISTING WITH FUNDRAISING ACTIVITIES OF LOCAL CLUBS, PHOTOGRAPHY OF EQUINE RELATED ACTIVITIES, CREATIVE WRITING CONCERNING EQUINE EVENTS (FICTIONAL OR NON-FICTIONAL), A NEWS STYLE ARTICLE REPORTING ON FACTUAL EVENTS THAT IS EQUINE RELATED, ARTS AND CRAFTS WITH AN EQUINE BASED THEME, AND HOLDING AND ORGANIZING AN NRHYA MEETING. THE FOUNDATION PROVIDES 13 SCHOLARSHIPS TOTALING $5,000 IN TOTAL AWARDS TO THE VRC PROGRAM EACH YEAR, AND THE SCHOLARSHIPS ARE AWARDED BASED ON THE POINTS EARNED BY THE VRC PARTICIPANTS. PARTICIPANTS ALSO CAN REDEEM PRIZES WITH THE POINTS THEY EARN.
