Governance Explanations

Members of the organization include those persons from time to time holding a position on the board of directors. Directors are elected by the corporation.

Form 990, Part VI, Section B, Line 11B

The form 990 is provided in draft format to the executive director of the organization for review. The draft form is then provided to the governing body for comments prior to filing. Upon addressing any comments from the board of directors, the final form 990 is provided to the governing body prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director and officer shall be required to sign a conflict of interest and confidentiality disclosure statement. The president shall determine those volunteers and employees who will be required to sign a conflict of interest and confidentiality statement. All directors, officers, and employees shall receive a copy of this policy. The president shall submit a report to the board of directors concerning any interests of directors, officers, or employees together with his/her recommendations concerning the same. The president shall administer the reporting process, and may revise forms and procedures as necessary. The board of directors shall resolve any disputed action of the president with respect to conflict of interest matters. A full written disclosure by every officer, director, trustee, volunteer or employee of all facts of any transaction which might be perceived as a possible conflict of interest shall be made to the members of the board of directors as soon as practicable but before consummating the transaction.

Executive committee members review the compensation for all officers and staff over a three year period using the local united way nonprofit salary survey ranges. At the conclusion of the rewiew, the executive committee makes recommendations on salary increases, which must then be approved by the board of directors.

Leadership oklahoma city has been classified as an organization that is not a private foundation under section 509(a)(2) of the internal revenue code. These statements are prepared on the modified cash basis and therefore no provision has been accrued for income taxes. Management has reviewed leadership oklahoma city, inc. Tax positions and concluded that no uncertain tax positions exist as of may 31, 2025 or 2024, which would require the organization to record a liability for the uncertain tax positions in their financial statements. The organization's exempt returns for the years ended before may 31, 2022, are no longer subject to examination by taxing authorities.
