Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee of The Board of Directors shall be comprised of the officers of the Board of Directors. The Committee may meet at a stated time or during the intervals between meetings of the Board. The Executive Committee shall advise and aid the Board of Directors in all matters concerning its interest and the management of its business and generally perform such duties and exercise such powers as may by directed or delegated by the Board of Directors from time to time. The Board may delegate to such Committee authority to exercise all the powers of the Board, excepting power to amend the bylaws, while the Board is not in session. The Executive Committee shall be subject at all times to the control and direction of the Board.

Form 990, Part VI, Section B, line 11B

The Form 990 is reviewed and approved by the Executive Director and Board Treasurer before it is filed. After the 990 is filed with the IRS, the Board Treasurer provides a complete copy and presents the Form 990 to the governing board during the Organization's annual board meeting.

Form 990, Part VI, Section B, line 12C

The policy covers current/former officers, directors, employees and volunteers. TRC's Corporate Compliance Officer and Human Resources Director gather and review compliance data and report conflicts of interest directly to the Board of Directors and/or CEO. The CEO/Board of Directors' review alleged conflicts of interest, and determine the appropriate action (if necessary) to be taken. If a conflict of interest is identified, TRC ceases all interaction and/or any transactions with the individual/entity until the CEO/Board of Directors review the concern, determine appropriate action to take and the (alleged) conflict of interest is resolved.

Form 990, Part VI, Section B, line 15A

The Executive Director's (CEO) compensation is reviewed and discussed by the Board of Directors during TRC's Annual Board meeting. Any changes to the CEO's compensation package is based on a national database for Executive Director compensation. This process is completed prior to the end of each fiscal year end. Discussion and deliberations are documented in the personnel file.

IRS990/Desc0The Recovery Center (TRC) operates as a Comprehensive Community Addiction Recovery Center (CCARC) and has several levels of treatment to include: inpatient and ambulatory withdrawal management, outpatient and intensive outpatient treatment, residential treatment, screening and referral, case management and aftercare services. TRC is certified by Oklahoma Department of Mental Health and Substance Abuse Services (ODMHSAS) and is accredited by CARF. TRC admitted 1,673 patients to the programs and completed more than 2,700 screenings in fiscal year 2021.Program service statement continued on Schedule O.TRC external stakeholder, consumer satisfaction, employee satisfaction, and board satisfaction surveys resulted in more than 90% responses in good and very good categories of survey questions. The consumer and staff safety protocols for Covid-19 work related practices were updated to abide by all the CDC protocols. The inpatient and outpatient unit processes are updated and implemented in ways to have continuum care structure for TRC consumers. TRC staff completed its annual trainings to help them serve the consumers in a better-informed manner. TRC is improving its education curriculum for the inpatient unit. Educational groups and outside self-help meetings are modified on ongoing basis to improve the overall curriculum. Nursing staff will continue to encourage and motivate the patients to go to groups, perform activities of daily living, receive education of medications/detoxification symptoms, smoking cessation, and overall holistic health. Critical incidents for fiscal year 2021 have decreased by 5% over the previous year.TRC had a very successful virtual fundraising campaign called "Voices of Recovery Luncheon" in April 2021. There were more than 120 participants and TRC raised more than $12,000 from the event.
