“The 990 is prepared by Lead Accountant who is an employee of the University of Oklahoma Health Sciences Center. After the tax return is prepared it is reviewed by the Asst. VP Administration & Finance & Controller of the University of Oklahoma Health Sciences Center who is a CPA. After the review it is given to Paul Manzelli who is the Director for the Corporation and has general authority over the day-to-day business organization including but not limited to fiscal year disbursements investments real estate acquisitions and leases. He reviews and signs the return.”

“The President of the committee considering a transaction involving an Interested Person appoints a disinterested person or committee to investigate alternatives to the transactions. The Board of Committee determines if a more advantageous transaction can be obtained from a disinterested person. If a more advantageous transaction is not attainable that would give rise to a conflict of interest the Board of Committee shall determine by a majority vote of disinterested Directors whether the transaction is fair and in the best interest of the Corporation. If the Board of committee has reasonable cause to believe and Interested Person has failed to disclose a conflict of interest as required they shall inform the Interested Person of the basis for such belief and afford the Interested Person an opportunity to explain. If it is determined that a conflict of interest was disclosed the Board or committee shall take appropriate corrective action.”

“The organization makes the 990 and 990-T governing documents conflict of interest policy and financial statements available to the general public by providing copies upon request.”
