Governance Explanations

Form 990, Part VI, Section B, Line 11B

The irs form 990 information is gathered by the chief financial officer and finance staff. It is given to the board appointed cpa firm. The cpa firm completes the form 990. The initial draft of the form 990 is reviewed by the chief executive officer and chief operating officer. Copies of the 990 are provided to each member of the organization's board of directors for review prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

A conflict of interest is deemed to exist between a licenced clinician (whether employee or independent contractor) or any other employees when they are a party to a contract, other than their own employment contract or independent contractor agreement, or involved in a transaction with planned parenthood of arkansas and eastern oklahoma for goods or services. When they have a material financial interest in, or are otherwise a director, officer, agent, partner, associate, employee, trustee, personal representative, receiver, guardian, custodian, or other legal representative of an entity that is engaged in a transaction with planned parenthood of arkansas and eastern oklahoma. Last, when they are engaged in some capacity or have a material financial interest in a business or enterprise that competes with planned parenthood of arkansas and eastern oklahoma. Annually, each clinician and employee with management responsibilities completes a disclosure form identifiying any relationships, positions, or circumstances in which they are involved that could contribute to a conflict of interest. Annual reviews are done by the ceo and various committees within the organization to make sure all necessary signatures and forms have been updated and completed by all. Any potential conflicts of interest are brought to the attention of the board of directors by the executive management team. The board would determine if a conflict of interest existed, and would impose a "wall" between the person and any information and decision making, regarding the relationship giving rise to the conflict.

Form 990, Part VI, Section B, Line 15

The salary/bonus of the president and ceo is set by the board of directors of planned parenthood great plains (ppgp) and reviewed annually. All other salaries are determined on the organiztion's salary scale, along with benchmarking the salaries of non-profit organizations in the kansas city metro area. All of hiring decisions are approved by the coo and all of salary increases, including cola (cost of living adjustment), are approved by the coo and ceo. Planned parenthood strives to pay competitive salaries at or above the top fiftieth (50th) percentile as compared to the median salaries for similar non-profit organizations, to the extent the organization determines it is prudent and financially feasible. As part of normal business operations, ppgp shall conduct a wage compensation review every three years which includes salary comparisons based on the labor market and similar non-profit organizations.

Financial Statement Notes

PART X, LINE 2:

Ppaeo is exempt from income taxes under section 501(c)(3) of the internal revenue code. The organization's accounting policy is to provide liabilities for uncertain income tax positions when a liability is probable and estimable. The organization has no uncertain income tax positions for the year ended june 30, 2017. The organization is no longer subject to audit for federal and state tax purposes for years prior to 2013. Management is not aware of any violation of its tax status as an organization exempt from income taxes.

Form 990 Schedule D Part V

The primary purpose of the trust is to provide endowment income to the grantor in furthering its charitable activities. Among other things, the trust may invest the principal and income of the trust, including making loans to the grantor, which shall bear a reasonable rate of interest. The trustee shall distribute trust net income to the grantor at least annually and, to the extent not donor-restricted, shall distribute principal of the trust to the grantor upon approval by at least 80% of all voting members of the grantor's board of directors. Bank of oklahoma is co-trustee and investment manager.
