“The executive committee of the board of directors shall consist of the board chair, the immediate past board chair, the board chair-elect, the vice-chairs of standing committees, and up to five (5) other directors appointed by the board chair to serve at large. The president & chief executive officer shall also serve as an ex officio nonvoting member of the executive committee of the board of directors. The executive committee of the board of directors will coordinate the general activities of the board of directors. The executive committee of the board of directors may exercise all the powers and authority of the board of directors in the management of the business and affairs of the corporation except for those actions that require approval of the board of directors in 0. The board chair shall serve as chair of the executive committee of the board of directors. Regular meetings of the executive committee of the board of directors shall be scheduled by the board chair in consultation with the president & chief executive officer. The duties of the executive committee of the board of directors shall be as follows: i) represent the full board of directors and direct any required business of the board of directors between meetings of the board of directors, including any urgent or pertinent business matters; ii) provide counsel and guidance to the president & chief executive officer on important matters including crisis management and difficult decisions, act as a forum for business strategy conversation, and provide a critical decision-making entity on matters the president & chief executive officer brings to the attention of the executive committee of the board of directors; iii) review the material policies and procedures of the corporation as needed and make recommendations to the board of directors; iv) review the strategic plan and make recommendation for approval to the board of directors; v) consider and provide guidance on the impact any community, industry, or other external issues or forces may have on the corporation; vi) make recommendations to the board of directors with respect to specific issues, challenges, and opportunities facing the corporation; vii) authorize, engage, hire, and consult with legal counsel regarding threatened or pending legal actions; viii) negotiate and approve legal settlements on behalf of the corporation; ix) review and approve any purchase of real estate; x) make recommendations to the board of directors with respect to any mergers, acquisitions, dissolution, liquidation, or other large transactions by the corporation; xi) review and provide guidance to the president & chief executive officer regarding major areas of risk or possible liability facing the corporation; xii) make recommendations to the board of directors with respect to capital campaigns or major changes in fundraising operations; xiii) review and approve board of directors committees' recommendations that may come before the executive committee of the board of directors and make recommendations to the board of directors as needed; xiv) evaluate and make recommendations to the board of directors regarding the performance of the president & chief executive officer; xv) approve any changes to the president & chief executive officer's compensation; and xvi) establish a search committee comprised of members of the board of directors, in the event of a vacancy in the president & chief executive officer of the corporation.”

“Form 990 is reviewed by the chief financial officer and the vice-chair of the finance committee and approved by the chief executive officer.”

A board manual is prepared and reviewed with any new board members detailing the conflict of interest policy. The organization has a very strong policy for ethical standards of conduct and has never encountered a conflict of interest in the agency's 90 plus year history.”

“Compensation committee. The committee is comprised of the current board chair, board chair-elect, and two most former board chairs to conduct an annual review of and establish the president & chief executive officer's compensation package for approval by the executive committee of the board of directors. The chief human resources officer and any other professional consultant(s) chosen by the committee will provide the latest compensation information for comparable positions within the industry.”
