Form 990, Page 6, Part VI, Line 7A

The directors include at least two members of the medical staff, one of whom is the chief of staff, who is elected by the medical staff, in an ex officio capacity with vote. The other is a member of the medical staff elected directly by the board. In the event that the chief of staff is also serving as the elected member, the vice chief of staff shall be seated as the other medical staff member to serve until the elected offices of the medical staff change. No more than twenty percent of the directors may be physicians with medical staff privileges at the hospital. Ex officio directors serve on the board by virtue of their official position, and remain a director until they resign or are removed from the official position.

The hospital is organized as an oklahoma nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under internal revenue code section 501(c)(3). The hospital is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the hospital is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The hospital filed an exempt organization business income tax return (form 990-t) with the irs to report its unrelated business taxable income for the year ending december 31, 2017. The hospital has recorded a liability to the oklahoma tax commission of 0 and 812,051 as of december 31, 2024 and 2023, respectively, related to potentially unrelated business taxable income generated in the 2017 tax year. During 2021, the internal revenue service accepted an offer in compromise from the hospital, which discharged the federal tax liability.

NEWMAN MEMORIAL HOSPITAL PROVIDES QUALITY MEDICAL HEALTHCARE REGARDLESS OF RACE, CREED, SEX, NATIONAL ORIGIN, DISABILITY, AGE, OR ABILITY TO PAY.
