The Human Resource Committee of the board meets regularly to handle various matters, including compensation levels for top management. The foundation and the institute evaluate and account for their uncertain tax positions in accordance with asc topic 740, "income taxes," including the foundation's and institute's tax position as tax-exempt, not-for-profit entities. Through its evaluation of the foundation's and the institute's uncertain tax positions, management has determined no uncertain tax positions existed as of december 31, 2014 or 2013, which would require the entity to record a liability for the uncertain tax positions in its combined financial statements. Interest and penalties, if any, resulting from any uncertain tax position required to be recorded by the entity would be presented in other noninterest expense in the combined financial statements.
